Discovery Inc. is reportedly planning to reject Paramount Skydance\u2019s hostile takeover bid, reports <a href=\"https:\/\/www.bloomberg.com\/news\/articles\/2025-12-16\/warner-bros-said-to-prep-paramount-rejection-on-funding-terms?srnd=undefined\" rel=\"nofollow noopener\" target=\"_blank\">Bloomberg<\/a>.<\/p>\n<p>The outlet says that after reviewing the Paramount bid, the Warner Bros. board still views the existing agreement with Netflix as offering greater value, certainty, and terms than Paramount has proposed.<\/p>\n<p>One issue is a big chunk of the equity is comes from a revocable trust that manages the wealth of his father, Larry Ellison.  A trust where assets can be withdrawn at any time.<\/p>\n<p>Another is that the Paramount isn\u2019t \u201coffering the company enough flexibility to run its business or manage its balance sheet\u201d for the year or more it could take for a sale to win approval from federal regulators.<\/p>\n<p>The outlet\u2019s sources say WBD\u2019s response to Paramount\u2019s tender offer could be filed as early as tomorrow, but no final decision has been made as yet.<\/p>\n<p>Meanwhile <a href=\"https:\/\/variety.com\/2025\/film\/news\/jared-kushner-backs-out-of-paramount-warner-bros-discovery-bid-1236610316\/\" rel=\"nofollow noopener\" target=\"_blank\">Variety<\/a> reports that Jared Kushner\u2019s Affinity Partners investment firm is no longer part of Paramount Skydance\u2018s acquisition bid.  As recently as last week, Paramount said in an SEC filing that three Arab wealth funds and Kushner\u2019s Affinity would be silent equity investors in the company.<\/p>\n<p>Then comes another wrinkle with <a href=\"https:\/\/x.com\/EmpireCityBO\/status\/2001041838782685419\" rel=\"nofollow\">Empire City<\/a> reporting that Paramount is potentially considering the idea of going after NBCUniversal, though that would seem unlikely given that one company can\u2019t own two broadcast channels in the United States.<\/p>\n","protected":false},"excerpt":{"rendered":"MGM\/UA, EON Warner Bros.
