{"id":388169,"date":"2026-01-03T03:32:06","date_gmt":"2026-01-03T03:32:06","guid":{"rendered":"https:\/\/www.newsbeep.com\/au\/388169\/"},"modified":"2026-01-03T03:32:06","modified_gmt":"2026-01-03T03:32:06","slug":"china-escalates-nexperia-dispute-as-malaysia-shift-looms","status":"publish","type":"post","link":"https:\/\/www.newsbeep.com\/au\/388169\/","title":{"rendered":"China escalates Nexperia dispute as Malaysia shift looms"},"content":{"rendered":"<p>Beijing has criticized the Netherlands for failing to help Wingtech Technology regain control of Nexperia, a Dutch chipmaker, pushing the dispute onto the diplomatic stage again after a previous confrontation in\u00a0October.<\/p>\n<p>A Chinese Ministry of Commerce spokesperson\u00a0<a href=\"https:\/\/www.mofcom.gov.cn\/xwfb\/xwfyrth\/art\/2025\/art_b47fd15c1d484d8580d13a1417360e7e.html\" rel=\"nofollow noopener\" target=\"_blank\">urged<\/a> the Dutch government to correct its \u201cwrongdoing\u201d and remove the obstacles to restore stability to the global semiconductor supply chain.<\/p>\n<p>\u201cIt is perplexing that, in the face of widespread anxiety and concern within the global industry, the Dutch side remains unmoved and persists in its own course, showing no sense of responsibility whatsoever for the security of the global semiconductor industry and supply chains, nor has it taken any substantive action,\u201d the spokesperson said.<\/p>\n<p>The spokesperson said the Dutch side\u2019s \u201cimproper\u201d administrative intervention in Nexperia\u2019s internal affairs in October had triggered a global semiconductor supply chain crisis, for which the Netherlands must bear full responsibility.<\/p>\n<p>The comments followed Dutch Economic Affairs Minister Vincent Karremans <a href=\"https:\/\/www.telegraaf.nl\/binnenland\/vvd-kroonprins-vincent-karremans-blikt-terug-op-roerig-2025-kritiek-is-me-niet-in-de-koude-kleren-gaan-zitten\/112523584.html\" rel=\"nofollow noopener\" target=\"_blank\">statement<\/a> to the daily De Telegraaf in a recent interview that government intervention in the Nexperia case had been unavoidable.<\/p>\n<p>\u201cI wouldn\u2019t characterize it as enjoyable, but it was necessary,\u201d Karremans said. \u201cAnd I don\u2019t let my decisions be guided by whether they\u2019re enjoyable or not.\u201d<\/p>\n<p>The sharp diplomatic exchange contrasted with the tone struck by officials from both sides in late November, when Beijing and The Hague publicly emphasized cooperation following high-level meetings held on November 18 and 19. At that time, both governments spoke positively about efforts to stabilize semiconductor supply chains and reduce friction.<\/p>\n<p>In late September 2025, the United States <a href=\"https:\/\/www.nexperia.com\/about\/news-events\/press-releases\/update-on-company-developments-4\" rel=\"nofollow noopener\" target=\"_blank\">expanded<\/a> its Entity List rules to automatically cover companies majority\u2011owned by sanctioned firms. Within days, the Dutch government invoked its Goods Availability Act to take temporary control of Nexperia, citing governance concerns. <\/p>\n<p>On October 7, a Dutch court suspended\u00a0Nexperia\u2019s chief executive Zhang Xuezheng and appointed its chief financial officer Stefan Tilger as interim head.\u00a0<\/p>\n<p>In early October, Beijing restricted exports of Nexperia\u2019s China-made chip products. Nexperia also halted wafer shipments to its Dongguan plant due to unsettled\u00a0payments from its unit, Nexperia China.<\/p>\n<p>However, the Chinese government changed its strategy\u00a0on October 15, seeking to resolve the dispute legally.\u00a0It sent\u00a0a\u00a0notice of dispute to the Dutch government, complaining that the latter violated the\u00a02001 Agreement on Encouragement and Reciprocal Protection of Investments between China and the Netherlands.\u00a0<\/p>\n<p>It also asked\u00a0Nexperia China to\u00a0resume shipments of its chip products, a move to de-escalate the situation ahead of a meeting between\u00a0US President Donald Trump and Chinese President Xi Jinping in South Korea on October 30.<\/p>\n<p>In the <a href=\"https:\/\/asiatimes.com\/2025\/11\/nexperia-control-battle-rages-as-chinas-wingtech-files-appeal\/\" rel=\"nofollow noopener\" target=\"_blank\">meeting<\/a> with\u00a0Xi, Trump agreed to delay the implementation of Washington\u2019s new \u201cpenetrating sanction rules\u201d by one year.\u00a0On November 19, the Netherlands halted its intervention in Nexperia under the Goods Availability Act.\u00a0Karremans described China\u2019s moves to resume chip shipments as indicative of goodwill rather than of confrontation.<\/p>\n<p>Investment in Malaysia<\/p>\n<p>While Beijing believed the issue would be resolved at the corporate level,\u00a0Wingtech said on November 28 that the Dutch side had broken its promise and failed to allow the company to restore\u00a0its control over Nexperia.<\/p>\n<p>Nexperia China also <a href=\"https:\/\/www.stcn.com\/article\/detail\/3517445.html\" rel=\"nofollow noopener\" target=\"_blank\">said<\/a> that its parent, Nexperia, planned to invest more than US$300 million to build a new factory in Malaysia, aiming to shift about 90% of its production capacity out of China by mid-2026.<\/p>\n<p>A Hainan-based columnist <a href=\"https:\/\/www.zhihu.com\/question\/1974527840201438797\/answer\/1977981333629313944\" rel=\"nofollow noopener\" target=\"_blank\">says<\/a> that, after all these struggles,\u00a0the real intentions of the Dutch and US governments have become clear.<\/p>\n<p>\u201cThe goal is to strip China out of Nexperia\u2019s supply chain for mature chips and replace it with Malaysia,\u201d the commentator writes, arguing that Chinese facilities would be left serving only domestic demand while most capacity was transferred overseas.<\/p>\n<p>\u2018The goal is to strip China out of Nexperia\u2019s supply chain for mature chips and replace it with Malaysia.\u2019<\/p>\n<p>Hainan-based columnist<\/p>\n<p>That writer suspects that\u00a0Nexperia\u2019s Dutch executives had long planned to boost production in Malaysia significantly, so they sought a one-year court mandate to secure complete control of the company and suspend Chief Executive Zhang Xuezheng before he could block the plan.\u00a0<\/p>\n<p>He says that even if the Dutch management allows\u00a0Wingtech to\u00a0regain control of Nexperia a year later,\u00a0the Malaysian supply chain will already be in place by then.\u00a0<\/p>\n<p>The columnist adds that Wingtech now faces two stark options:<\/p>\n<p>Single\u2011winner outcome (Nexperia): Wingtech allows the current arrangement to stand, with Nexperia China continuing shipments while most production capacity is gradually shifted to Malaysia by mid\u20112026, effectively cementing Nexperia\u2019s strategy.<\/p>\n<p>Double\u2011loss outcome: Wingtech immediately cuts off Nexperia China\u2019s overseas shipments, stops recognizing Nexperia\u2019s Dutch intellectual property, and pivots to domestic foundry capacity to focus on the Chinese market. In this scenario, Nexperia would lose its international customers, and even a completed Malaysia plant could struggle to secure buyers, pushing the business toward a prolonged decline.<\/p>\n<p>Some observers said it may not be a wise choice for Nexperia China to halt its overseas shipments now, warning that such a move could violate the Xi\u2013Trump understanding reached on October 30 and risk triggering a new tariff war.<\/p>\n<p>International arbitration<\/p>\n<p>In fact,\u00a0Beijing has so far avoided the double\u2011loss outcome.<\/p>\n<p>At a shareholders\u2019 meeting on December 26,\u00a0Wingtech\u2019s Chairman Yang Mu <a href=\"https:\/\/www.nbd.com.cn\/articles\/2025-12-26\/4197823.html\" rel=\"nofollow noopener\" target=\"_blank\">said<\/a> that since\u00a0China sent a notice of dispute to the Dutch government on October 15,\u00a0Nexperia China\u2019s factory in Dongguan has resumed chip shipments and delivered more than 11 billion chips to about 800 clients globally.\u00a0<\/p>\n<p>He accused Nexperia of cutting off wafer supplies to Nexperia China, publicly questioning the quality of chip products made in China, and pressuring suppliers at a global supplier conference to avoid working with its China operations.<\/p>\n<p>He said\u00a0Nexperia China has begun validating domestic wafer suppliers, with completion expected between the first and second quarters of 2026.<\/p>\n<p>\u201cIf the issue remains unresolved within six months (from October 15), Wingtech may pursue international arbitration, with potential claims reaching up to $8 billion,\u201d Yang said, adding that there will be\u00a0a second hearing in January 2026.<\/p>\n<p>Technically, Wingtech can pursue international arbitration on April 15, 2026. But the process may take several years to complete.\u00a0<\/p>\n<p>\u201cThe\u00a0proposed $8 billion damage claim includes the $3.6 billion Wingtech paid in late 2018 to acquire control of Nexperia, the appreciation of Nexperia\u2019s assets in recent years, and the company\u2019s future earnings potential,\u201d an Inner Mongolia-based technology columnist <a href=\"https:\/\/baijiahao.baidu.com\/s?id=1853113677590430944&amp;wfr=spider&amp;for=pc\" rel=\"nofollow noopener\" target=\"_blank\">says<\/a> in an article.\u00a0<\/p>\n<p>\u201cIf the Netherlands refuses to pay, Dutch assets in China could face reciprocal seizure under Chinese law. This is not an empty threat,\u201d the commentator writes. \u201cChina could also tighten regulatory scrutiny on Dutch companies or restrict exports of critical materials to ASML.\u201d<\/p>\n<p>\u201cIn a deeply interconnected global supply chain, any attempt to artificially sever links will ultimately backfire,\u201d the writer said.<\/p>\n<p>He argues that by intervening in Nexperia\u2019s operations to please the United States, the Netherlands risks alienating China, the world\u2019s largest market and one of the most critical controllers of global supply chains.
