Group Australia Expands National Platform with Hudson Acquisition

HiTech Group Australia (ASX: HIT) has entered a binding agreement to acquire the Australian operations and selected business assets of Hudson Global Resources Australia from its administrators for upfront consideration of A$7 million.

The acquired operations contribute about A$190m in pro forma financial year 2026 revenue based on annualised May billings from active contractors intended to transfer to HiTech.

The transaction expands HiTech beyond information and communications technology (ICT) recruitment and consulting while adding operations, customers, and workforce capabilities around the country.

Hudson brings a 40-year operating history across professional recruitment, ICT recruitment, business support, project services, and permanent recruitment for government and private sector clients.

Its customer relationships and contractor workforce will complement HiTech’s established federal government position, including Defence, while broadening the combined group’s access to state government and enterprise opportunities.

National Platform Taking Shape

HiTech expects the enlarged platform to provide revenue and cost synergies through greater scale, shared capabilities, and a more diversified customer base, although it has not provided earnings guidance while novation and integration work continues.

The transaction is structured as an asset acquisition from Hudson’s administrators, allowing HiTech to acquire selected brands, customer relationships, contractor arrangements, and operating capabilities while limiting exposure to historical liabilities.

The purchase price includes a A$1m deposit payable on signing and conditional deferred consideration of up to A$3m within 12 months of completion, subject to future cash generation from the acquired business.

HiTech plans to fund the acquisition through existing capital, committed debt facilities, and other capital sources available to it while maintaining balance-sheet capacity for future strategic opportunities.

The upfront price reflects the accelerated timing and administration circumstances rather than Hudson’s full standalone revenue or earnings potential, with the acquisition intended to create immediate operating scale after completion.

Integration Prioritises Continuity

HiTech chief executive officer Elias Hazouri called the deal a “transformational milestone in HiTech’s 33-year evolution”.

“Beyond adding scale, Hudson gives us access to private sector customers, capability, and government relationships we do not reach today that could take a decade to build, and creates a genuinely unique position in the Australian market,” Mr Hazouri said.

The acquired assets will initially operate as a standalone business supported by HiTech, enabling management to focus on retaining customers, contractors, and key employees while simplifying the operating model.

Selected support functions, technology platforms, and shared services will be integrated progressively where HiTech determines they can deliver sustainable operational and shareholder value.

Transferring employees and contractors will enter a structured onboarding program designed to maintain continuity across client service, systems and daily operations during the transition.

HiTech Group
