No shareholder vote or other approvals are required. With the FCC\u2019s blessing, the transaction will reshape the media landscape and recast <a href=\"https:\/\/deadline.com\/tag\/david-ellison\/\" id=\"auto-tag_david-ellison\" data-tag=\"david-ellison\" rel=\"nofollow noopener\" target=\"_blank\">David Ellison<\/a>, chairman and CEO of the combined company, as a top Hollywood power player.<\/p>\n<p class=\"paragraph larva \/\/ lrv-u-margin-lr-auto     \">\n\t\u201cAmericans no longer trust the legacy national news media to report fully, accurately, and fairly.\u00a0It is time for a change,\u201d said FCC chair Brendan Carr in a statement. \u201cThat is why I welcome Skydance\u2019s commitment to make significant changes at the once storied <a href=\"https:\/\/deadline.com\/tag\/cbs\/\" id=\"auto-tag_cbs\" data-tag=\"cbs\" rel=\"nofollow noopener\" target=\"_blank\">CBS<\/a> broadcast network.\u00a0<\/p>\n<p class=\"paragraph larva \/\/ lrv-u-margin-lr-auto     \">\n\t\u201cIn particular, Skydance has made written commitments to ensure that the new company\u2019s programming embodies a diversity of viewpoints from across the political and ideological spectrum.\u00a0Skydance will also adopt measures that can root out the bias that has undermined trust in the national news media.\u00a0These commitments, if implemented, would enable CBS to operate in the public interest and focus on fair, unbiased, and fact-based coverage.\u00a0Doing so would begin the process of earning back Americans\u2019 trust. Today\u2019s decision also marks another step forward in the FCC\u2019s efforts to eliminate invidious forms of DEI.\u201d <\/p>\n<p class=\"paragraph larva \/\/ lrv-u-margin-lr-auto     \">\n\tRead the full FCC <a href=\"https:\/\/deadline.com\/wp-content\/uploads\/2025\/07\/FCC-25-43A1.pdf\" rel=\"nofollow noopener\" target=\"_blank\">memorandum of approval and order here<\/a>.<\/p>\n<p class=\"paragraph larva \/\/ lrv-u-margin-lr-auto     \">\n\tSkydance says the commitments ae voluntary, but they were noted within the merger approval record.<\/p>\n<p class=\"paragraph larva \/\/ lrv-u-margin-lr-auto     \">\n\tThe merger was <a href=\"https:\/\/deadline.com\/2024\/07\/skydance-media-board-committee-approval-paramount-global-merger-1236002925\/\" rel=\"nofollow noopener\" target=\"_blank\">announced in July 2024<\/a> after a rocky courtship, only to face uncomfortable headwinds and awkward headlines as it contended with the new administration in Washington, D.C. Today\u2019s FCC greenlight was the last major hurdle and it proved a big one, after the companies had agreed to <a data-id=\"1236447495\" data-type=\"post\" href=\"https:\/\/deadline.com\/2025\/07\/paramount-settles-donald-trump-lawsuit-clearing-path-for-skydance-merger-1236447495\/\" rel=\"nofollow noopener\" target=\"_blank\">settle a Donald Trump lawsuit against CBS News<\/a> and other concessions that left a sour taste in order to secure regulatory approval.<\/p>\n<p class=\"paragraph larva \/\/ lrv-u-margin-lr-auto     \">\n\tAs the agency\u2019s OK seemed near, <a href=\"https:\/\/deadline.com\/2025\/07\/south-park-takes-aim-trump-season-27-premiere-1236466845\/\" rel=\"nofollow noopener\" target=\"_blank\">the season premiere of South Park <\/a>on Paramount\u2019s Comedy Central on Wednesday eviscerated Trump \u2013 and Paramount\u2019s legal settlement \u2013 with a vehemence that\u2019s become increasingly rare.<\/p>\n<p>\t\tWhat it means\t<\/p>\n<p class=\"paragraph larva \/\/ lrv-u-margin-lr-auto     \">\n\tAfter all the drama, the deal is done. Paramount Global assets, from storied Paramount Pictures and its Melrose Avenue lot and the CBS broadcast network, 28 TV stations, television studios, streaming service Paramount+ and cable channels, are now set to formally combine with Skydance. Ellison launched the latter company in 2010, shepherding its rapid expansion from film to TV, games, animation, sports and new media. Skydance has been a longtime partner with Paramount as co-financier on marquee franchises from\u00a0Mission: Impossible to Star Trek, Transformers\u00a0and\u00a0Top Gun.\u00a0<\/p>\n<p class=\"paragraph larva \/\/ lrv-u-margin-lr-auto     \">\n\tThe son of billionaire Larry Ellison, who is Skydance\u2019s biggest investor and the co-founder and executive chairman of software giant Oracle, David Ellison has promised to lean into the intersection of technology and entertainment.<\/p>\n<p class=\"paragraph larva \/\/ lrv-u-margin-lr-auto     \">\n\tThe deal marks a notable C-suite comeback for Jeff Shell, head of RedBird Capital Sports and Media, who will be president of the merged company. <a href=\"https:\/\/deadline.com\/2023\/04\/comcast-mike-cavanagh-replaces-jeff-shell-at-nbcu-1235334442\/\" rel=\"nofollow noopener\" target=\"_blank\">Shell was ousted as CEO of NBCUniversal in 2023<\/a> after being the subject of complaints about inappropriate contact with a subordinate, CNBC anchor Hadley Gamble.<\/p>\n<p class=\"paragraph larva \/\/ lrv-u-margin-lr-auto     \">\n\tEllison and Shell will step in for the unusual CEO troika of George Cheeks, Brian Robbins and Chris McCarthy, who have been running Paramount Global since <a href=\"https:\/\/deadline.com\/tag\/shari-redstone\/\" id=\"auto-tag_shari-redstone\" data-tag=\"shari-redstone\" rel=\"nofollow noopener\" target=\"_blank\">Shari Redstone<\/a>, controlling shareholder of Paramount, <a href=\"https:\/\/deadline.com\/2024\/04\/bob-bakish-leaving-paramount-global-division-heads-office-of-ceo-1235898125\/\" data-type=\"post\" data-id=\"1235898125\" rel=\"nofollow noopener\" target=\"_blank\">ejected former chief Bob Bakish<\/a> in April 2024. Cheeks, president and CEO of CBS, is expected to remain with Skydance, which doesn\u2019t have a broadcast business. Skydance Chief Creative Officer Dana Goldberg\u00a0will run the film studio. Cindy Holland, the former Netflix TV chief hired by Ellison as an advisor last fall, will segue to Paramount+.<\/p>\n<p class=\"paragraph larva \/\/ lrv-u-margin-lr-auto     \">\n\tThe deal will see the Ellison family, with Gerry Cardinale\u2019s RedBird Capital, acquire Redstone\u2019s controlling interest in Paramount, a media giant assembled over decades by her father, the late Sumner Redstone. Redstone\u2019s interest in Paramount is held through her family holding company National Amusements, which Skydance will acquire for $2.4 billion.<\/p>\n<p class=\"paragraph larva \/\/ lrv-u-margin-lr-auto     \">\n\tIt\u2019s a complex operation with a much smaller private company going after a much bigger, publicly traded entity. Skydance is also offering $4.5 billion in cash to other Paramount shareholders to acquire some Class A and Class B shares at, respectively, $23 and $15. Paramount has two classes of stock. The As are fewer and hold voting rights, the Bs are much more widely held and don\u2019t come with a vote.<\/p>\n<p class=\"paragraph larva \/\/ lrv-u-margin-lr-auto     \">\n\tParamount Class B shareholders had already threatened lawsuits before the deal closed and can cue them up now.<\/p>\n<p class=\"paragraph larva \/\/ lrv-u-margin-lr-auto     \">\n\tPlaintiffs may include vocal fund manager Mario Gabelli, whose Gameco holds the largest number of Class A voting shares after Redstone. Gabelli had pushed in Delaware Chancery Court for more disclosure on the the transaction to asses if the $2.4 billion payout to Redstone is enriching the Paramount Global non-executive chair at the expense of other shareholders.<\/p>\n<p class=\"paragraph larva \/\/ lrv-u-margin-lr-auto     \">\n\tThe deal calls for Paramount to acquire Skydance in an all-stock merger that values the company at $4.75 billion. At the close, the Skydance investor group will own 100% of New Paramount Class A Shares and 69% of outstanding Class B shares \u2014 or about 70% of the pro forma shares outstanding.<\/p>\n<p class=\"paragraph larva \/\/ lrv-u-margin-lr-auto     \">\n\tThe investor group will inject $1.5 billion of fresh cash into Paramount\u2019s balance sheet.<\/p>\n<p>\t\tDeal drama\t<\/p>\n<p class=\"paragraph larva \/\/ lrv-u-margin-lr-auto     \">\n\tAs negotiations unfolded, Hollywood, unlike Wall Street, was rooting for Ellison. A private equity buyer like Apollo, which made an offer, could acquire the storied lot for real estate. An approach by Warner Bros Discovery and preliminary offer by Sony had the town understandably wary of another major studio merger. Other interested parties included <a href=\"https:\/\/deadline.com\/2025\/05\/trump-movie-tariffs-jon-voight-plan-submitted-1236385635\/\" rel=\"nofollow noopener\" target=\"_blank\">a group with Steven Paul \u2013 last seen working with Jon Voight<\/a> on Trump\u2019s plan \u201cto make Hollywood Great Again\u201d; ones led by Edgar Bronfman Jr. Barry Diller and Byron Allen; and a controversial consortium called Project Rise. Ellison\u2019s offer, tweaked and sweetened several times, ultimately carried the day.<\/p>\n<p class=\"paragraph larva \/\/ lrv-u-margin-lr-auto     \">\n\tThen Trump won the election with a grudge at mainstream media and flurry of lawsuits against outlets. They included a <a data-id=\"1236163916\" data-type=\"post\" href=\"https:\/\/deadline.com\/2024\/10\/trump-cbs-lawsuit-60-minutes-kamala-harris-1236163916\/\" rel=\"nofollow noopener\" target=\"_blank\">$20 billion challenge to CBS and <a href=\"https:\/\/deadline.com\/tag\/60-minutes\/\" id=\"auto-tag_60-minutes\" data-tag=\"60-minutes\" rel=\"nofollow noopener\" target=\"_blank\">60 Minutes<\/a><\/a> filed in a Texas court over the newsmagazine\u2019s editing of an interview with Democratic presidential candidate Kamala Harris. The company called the suit meritless, as did legal experts. But any deal involving the transfer of broadcast licenses requires approval by the FCC, chaired by Trump supporter Carr. The merger remained in regulatory limbo until Paramount Global settled with the president in early July. Trump continues to peg the deal as worth more, which Paramount has denied. Lawmakers and interest groups slammed the company for a terrible precedent a major hit to press freedom. They call the settlement a bribe and have threatened to sue.<\/p>\n<p class=\"paragraph larva \/\/ lrv-u-margin-lr-auto     \">\n\tThe longtime executive producer of 60 Minutes <a data-id=\"1236373948\" data-type=\"post\" href=\"https:\/\/deadline.com\/2025\/04\/bill-owens-60-minutes-cbs-trump-1236373948\/\" rel=\"nofollow noopener\" target=\"_blank\">Bill Owens resigned<\/a> citing concerns over editorial independence. <a data-id=\"1236404308\" data-type=\"post\" href=\"https:\/\/deadline.com\/2025\/05\/wendy-mcmahon-resigns-cbs-news-1236404308\/\" rel=\"nofollow noopener\" target=\"_blank\">Wendy McMahon<\/a>, president of CBS News, also left, noting disagreements with Paramount on the \u201cpath forward.\u201d CBS announced plans<a data-id=\"1236461787\" data-type=\"post\" href=\"https:\/\/deadline.com\/2025\/07\/the-late-show-with-stephen-colbert-ending-next-year-cbs-1236461787\/\" rel=\"nofollow noopener\" target=\"_blank\"> to end the The Late Show With Stephen Colbert <\/a>just days after its host and Trump critic called the 60 Minutes settlement \u201ca big fat bribe.\u201d <a href=\"https:\/\/deadline.com\/2025\/07\/the-late-show-with-stephen-colbert-protesters-monday-1236464276\/\" rel=\"nofollow noopener\" target=\"_blank\">Protestors have since been flocking to the Ed Sullivan Theater<\/a> in New York City to shout \u201cColbert Stays! DEI was an early target of the Trump administration. It\u2019s been bruising.<\/p>\n<p class=\"paragraph larva \/\/ lrv-u-margin-lr-auto     \">\n\tHis announcement also noted an anticipated injection of capital into local news, but he\u2019s referring to the previously announced $1.5 billion capital investment in Paramount across its operations, including broadcast.\u00a0He said Skydance reaffirmed \u201ca commitment to localism as a core component of the public interest standard, and emphasizes that it will work closely with its affiliated broadcast stations to ensure a productive partnership that will strengthen its affiliates\u2019 ability to serve their local communities.\u201d Again, Skydance says these are voluntary.<\/p>\n<p class=\"paragraph larva \/\/ lrv-u-margin-lr-auto     \">\n\tOperationally, it hasn\u2019t been easy. Paramount just inked a <a href=\"https:\/\/deadline.com\/2025\/07\/south-park-creaors-overall-deal-paramount-streaming-1236466139\/#recipient_hashed=5b72398f336ce2e7cacf88439d652e9a24dad01efd1913fbffa8d3709b146ce3&amp;recipient_salt=f3b31a41d2139c8efbc549c80e9c1df196a1e42e502d9bcc88d7ca495f999ae7&amp;utm_medium=email&amp;utm_source=exacttarget&amp;utm_campaign=Deadline_BreakingNews&amp;utm_content=622459_07-23-2025&amp;utm_term=7921072?utm_medium=email&amp;utm_source=exacttarget&amp;utm_campaign=1753291828-Breaking+News+Alert&amp;utm_content=622459_7-23-2025&amp;utm_id=622459\" rel=\"nofollow noopener\" target=\"_blank\">new five-year global licensing deal with star South Park creators <\/a>Trey Parker and Matt Stone but only after the duo publicly blamed the Skydance merger for \u201cf*cking up\u201d\u00a0their show and Skydance executives for interfering in contract talks. Under the agreement, Skydance got to vet any material transactions while the deal is pending.<\/p>\n<p class=\"paragraph larva \/\/ lrv-u-margin-lr-auto     \">\n\tMaking history<\/p>\n<p class=\"paragraph larva \/\/ lrv-u-margin-lr-auto     \">\n\tThe merger marks the end of the Redstone era and the start of new company, also family owned.<\/p>\n<p class=\"paragraph larva \/\/ lrv-u-margin-lr-auto     \">\n\tSumner Redstone\u2019s entertainment roots began with his father\u2019s \u00a0drive-in theater in a Boston suburb in 1934, which grew into a chain that ultimately became a major circuit called National Amusements presided over for years by Shari Redstone. Sumner Redstone entered the family business in 1954 and become CEO in 1967. He acquired cable TV programmer Viacom, parent of MTV, in a hostile takeover in 1987 and then CBS in 1999 \u2013 keeping the two separate. In between, the notoriously aggressive mogul acquired Blockbuster, whose cash flow helped him win Paramount Pictures parent Paramount Communications in 1994 after a brutal bidding war with Barry Diller and John Malone. Blockbuster was later spun off, sold to Dish and went bankrupt.<\/p>\n<p class=\"paragraph larva \/\/ lrv-u-margin-lr-auto     \">\n\tIn 2000, Viacom and CBS merged, becoming Viacom Inc. They split into two companies again in 2005. In 2019, they merged again. An early digital adopter, the company renamed streaming service CBS All Access to Paramount+ in 2021. In 2022, ViacomCBS changed its name to Paramount Global.<\/p>\n<p class=\"paragraph larva \/\/ lrv-u-margin-lr-auto     \">\n\tSumner spent decades insulting Shari\u2019s business acumen and leadership skills, refusing to name a successor. As his health declined in his 90s, the divorced tycoon began living with Sydney Holland and Manuela Herzer, two women with lavish spending habits who got themselves written into his will and attempted to keep Shari away from her father. She intervened, reconciled with Sumner and pushed the two women out of the pictures in a soap opera legal battle. The dysfunctional dynamics were s<a href=\"https:\/\/deadline.com\/2023\/02\/sumner-redstone-book-viacom-leslie-moonves-unscripted-1235259811\/\" rel=\"nofollow noopener\" target=\"_blank\">et out in the 2023 book Unscripted: The Epic Battle for a Media Empire and the Redstone Family Legacy.<\/a> She returned to the family business, becoming chair of the merged company in 2019 with her chosen CEO Bob Bakish (that pairing did not end well). In August of 2020, Sumner passed away at 97. <\/p>\n<p class=\"paragraph larva \/\/ lrv-u-margin-lr-auto     \">\n\tSkydancing<\/p>\n<p class=\"paragraph larva \/\/ lrv-u-margin-lr-auto     \">\n\tThe name Skydance comes from Ellison\u2019s love of aviation and it was originally based out of a hangar at the Santa Monica airport. The company\u2019s first feature, It started in film with Coen brothers\u2019 western True Grit (2010), its first, receiving 10 Oscar nominations. Soon after, Skydance secured its first notable partnership, with Paramount Pictures and Tom Cruise, to finance and produce major franchises. It\u2019s worked on Mission: Impossibles from Ghost Protocol in 2011 through The Final Reckoning this spring, on Jack Reacher and on Top Gun: Maverick, which helped jolt the box office out of deep Covid doldrums in 2022. \u00a0<\/p>\n<p class=\"paragraph larva \/\/ lrv-u-margin-lr-auto     \">\n\tSkydance Television launched in 2013 with comedy series Grace and Frankie\u00a0at Netflix and Emmy-winning drama Manhattan on the former WGN America. Michale Bay\u2019s 6 Underground starring Ryan Reynolds was its first feature film for the streamer working on film and TV projects with major platforms from The Old Guard and The Adam Project to The Tomorrow War, Foundation, AIR and Cross.<\/p>\n<p class=\"paragraph larva \/\/ lrv-u-margin-lr-auto     \">\n\tThe company created Skydance Interactive in 2016, Skydance Animation in 2017 and Skydance New Media in 2019 and Skydance Sports in 2021.<\/p>\n<p class=\"paragraph larva \/\/ lrv-u-margin-lr-auto     \">\n\tIn 2018, it formed a strategic partnership with China\u2019s Tencent, a relationship noted by the FCC.
