{"id":245829,"date":"2025-10-28T14:59:07","date_gmt":"2025-10-28T14:59:07","guid":{"rendered":"https:\/\/www.newsbeep.com\/ca\/245829\/"},"modified":"2025-10-28T14:59:07","modified_gmt":"2025-10-28T14:59:07","slug":"openai-completed-its-for-profit-restructuring-and-struck-a-new-deal-with-microsoft","status":"publish","type":"post","link":"https:\/\/www.newsbeep.com\/ca\/245829\/","title":{"rendered":"OpenAI completed its for-profit restructuring \u2014 and struck a new deal with Microsoft"},"content":{"rendered":"<p class=\"duet--article--dangerously-set-cms-markup duet--article--standard-paragraph _1ymtmqpi _17nnmdy1 _17nnmdy0 _1xwtict1\">OpenAI\u2019s controversial for-profit restructuring is finally complete, along with a new deal with Microsoft that covers its upcoming <a href=\"https:\/\/www.theverge.com\/news\/792635\/openai-jony-ive-ai-device-voice-personality-issues\" rel=\"nofollow noopener\" target=\"_blank\">plans for consumer hardware<\/a> and what the next steps are if AGI (artificial general intelligence) is ever achieved.<\/p>\n<p class=\"duet--article--dangerously-set-cms-markup duet--article--standard-paragraph _1ymtmqpi _17nnmdy1 _17nnmdy0 _1xwtict1\">The company\u2019s for-profit arm is now a public benefit corporation, dubbed OpenAI Group PBC. The nonprofit is now called the OpenAI Foundation and \u201cholds equity in the for-profit currently valued at approximately $130 billion\u201d \u2014 it will begin with a $25 billion focus on healthcare and disease and \u201cAI resilience,\u201d per OpenAI\u2019s <a href=\"https:\/\/openai.com\/index\/built-to-benefit-everyone\/\" rel=\"nofollow noopener\" target=\"_blank\">blog post<\/a>. The nonprofit will also get \u201cadditional ownership\u201d after OpenAI\u2019s for-profit reaches an unspecified valuation milestone.<\/p>\n<p class=\"duet--article--dangerously-set-cms-markup duet--article--standard-paragraph _1ymtmqpi _17nnmdy1 _17nnmdy0 _1xwtict1\">The news comes after more than a year of OpenAI\u2019s negotiations with the offices of the Attorneys General of California and Delaware \u2014 if they hadn\u2019t eventually blessed the restructuring, OpenAI wouldn\u2019t have been able to move forward. It also follows a thorny and drawn-out legal battle with Elon Musk, who has been suing both the company and CEO Sam Altman in attempts to stop the conversion. Musk co-founded OpenAI in 2015 as a nonprofit research lab.<\/p>\n<p class=\"duet--article--dangerously-set-cms-markup duet--article--standard-paragraph _1ymtmqpi _17nnmdy1 _17nnmdy0 _1xwtict1\">In recent months, the company switched its original plan \u2014 a for-profit conversion where the nonprofit would no longer be in control of any aspect of the rest of the company \u2014 to an adjusted one, under which OpenAI\u2019s nonprofit parent will own an equity stake of up to $100 billion and continue to have oversight over the company.<\/p>\n<p class=\"duet--article--dangerously-set-cms-markup duet--article--standard-paragraph _1ymtmqpi _17nnmdy1 _17nnmdy0 _1xwtict1\">One question that\u2019s sparked controversy over the past year, and is still not fully answered, is whether OpenAI\u2019s nonprofit entity will retain control over its underlying technology, including the potential future development of artificial general intelligence, or AGI \u2014 systems that equal or surpass human cognitive ability. AGI is the moving goalpost that OpenAI and nearly all its competitors have been chasing, funneling increasing financial resources and headcount into its development.<\/p>\n<p class=\"duet--article--dangerously-set-cms-markup duet--article--standard-paragraph _1ymtmqpi _17nnmdy1 _17nnmdy0 _1xwtict1\">As part of the restructuring, OpenAI struck a brand-new deal with Microsoft, meaning the tech giant seemed to lessen its ownership stake \u2014 beforehand, it had held a 32.5 percent stake on an as-converted basis in OpenAI\u2019s for-profit, and <a href=\"https:\/\/www.theverge.com\/news\/776884\/openai-microsoft-mou\" rel=\"nofollow noopener\" target=\"_blank\">now<\/a>, it owns roughly 27 percent (on an \u201cas-converted diluted basis, inclusive of all owners\u201d) in the new public benefit corporation, a stake that\u2019s valued at about $135 billion.<\/p>\n<p class=\"duet--article--dangerously-set-cms-markup duet--article--standard-paragraph _1ymtmqpi _17nnmdy1 _17nnmdy0 _1xwtict1\">Here\u2019s what else changed as part of the OpenAI-Microsoft deal: Microsoft seemed to finally solve one of the biggest reported <a href=\"https:\/\/www.theverge.com\/notepad-microsoft-newsletter\/688964\/microsoft-openai-relationship-notepad\" rel=\"nofollow noopener\" target=\"_blank\">sticking points in its relationship with OpenAI<\/a> \u2014 the fact that Microsoft, beforehand, would lose its rights to OpenAI\u2019s technology once the company had reached AGI. The \u201cAGI clause,\u201d as it came to be known, was somewhat vague, and the new deal between the two companies has made things a lot clearer.<\/p>\n<p class=\"duet--article--dangerously-set-cms-markup duet--article--standard-paragraph _1ymtmqpi _17nnmdy1 _17nnmdy0 _1xwtict1\">For one, \u201conce AGI is declared by OpenAI, that declaration will now be verified by an independent expert panel\u201d \u2014 it won\u2019t just be OpenAI alone making the call, according to a Microsoft <a href=\"http:\/\/blogs.microsoft.com\/blog\/2025\/10\/28\/the-next-chapter-of-the-microsoft-openai-partnership\/\" rel=\"nofollow noopener\" target=\"_blank\">blog post<\/a>. And now, Microsoft also doesn\u2019t lose the rights to the technology: \u201cMicrosoft\u2019s IP rights for both models and products are extended through 2032 and now include models post-AGI, with appropriate safety guardrails,\u201d per the post.<\/p>\n<p class=\"duet--article--dangerously-set-cms-markup duet--article--standard-paragraph _1ymtmqpi _17nnmdy1 _17nnmdy0 _1xwtict1\">But Microsoft\u2019s rights are limited in other ways. Its IP rights to OpenAI\u2019s research will only remain through 2030 or through when the expert panel verifies AGI has been reached, \u201cwhichever is first.\u201d The IP rights allow Microsoft access to the \u201cconfidential methods used in the development of models and systems\u201d and include models intended solely for internal use or research purposes. The revenue-share agreement they had before remains until AGI is verified via an expert panel, but the payments \u201cwill be made over a longer period of time,\u201d per the post.<\/p>\n<p class=\"duet--article--dangerously-set-cms-markup duet--article--standard-paragraph _1ymtmqpi _17nnmdy1 _17nnmdy0 _1xwtict1\">But \u2014 and this is new \u2014 Microsoft\u2019s IP rights now do not cover OpenAI\u2019s consumer hardware, meaning the secret sauce behind the device it\u2019s building with famed Apple designer Jony Ive is off the table.<\/p>\n<p class=\"duet--article--dangerously-set-cms-markup duet--article--standard-paragraph _1ymtmqpi _17nnmdy1 _17nnmdy0 _1xwtict1\">Microsoft and OpenAI have also relaxed the formerly exclusive nature of their partnership even more than before. OpenAI can now collaborate with third parties to develop some products and can release some open weight models, and Microsoft will no longer have right of first refusal to be OpenAI\u2019s compute provider. OpenAI is also under contract to purchase \u201can incremental\u201d $250 billion of Azure services.<\/p>\n<p class=\"duet--article--dangerously-set-cms-markup duet--article--standard-paragraph _1ymtmqpi _17nnmdy1 _17nnmdy0 _1xwtict1\">Microsoft can also now \u201cindependently pursue AGI alone or in partnership with third parties\u201d \u2014 meaning the AGI arms race is on now more than ever. And let\u2019s say Microsoft uses OpenAI\u2019s IP to develop AGI \u2014 then, \u201cprior to AGI being declared, the models will be subject to compute thresholds.\u201d Again, the race to AGI is picking up speed, especially between the two companies.<\/p>\n<p class=\"duet--article--dangerously-set-cms-markup duet--article--standard-paragraph _1ymtmqpi _17nnmdy1 _17nnmdy0 _1xwtict1\">If OpenAI hadn\u2019t announced the completed restructuring by New Year\u2019s Eve of this year, it could have lost <a href=\"https:\/\/www.cnbc.com\/2025\/03\/31\/openai-funding-could-be-cut-by-10-billion-if-for-profit-move-lags.html\" rel=\"nofollow noopener\" target=\"_blank\">up to $10 billion<\/a> of its previously announced SoftBank investment.<\/p>\n<p class=\"duet--article--dangerously-set-cms-markup duet--article--standard-paragraph _1ymtmqpi _17nnmdy1 _17nnmdy0 _1xwtict1\">The company will host a
