{"id":290243,"date":"2025-11-18T03:42:08","date_gmt":"2025-11-18T03:42:08","guid":{"rendered":"https:\/\/www.newsbeep.com\/ca\/290243\/"},"modified":"2025-11-18T03:42:08","modified_gmt":"2025-11-18T03:42:08","slug":"ottawa-pushing-anglo-american-to-redomicile-to-canada-as-it-considers-teck-deal","status":"publish","type":"post","link":"https:\/\/www.newsbeep.com\/ca\/290243\/","title":{"rendered":"Ottawa pushing Anglo American to redomicile to Canada as it considers Teck deal"},"content":{"rendered":"<p><a style=\"display:block\" href=\"https:\/\/www.theglobeandmail.com\/resizer\/v2\/YP2ITJIEEJG4DNTUVQ4ASBW4PM.JPG?auth=dbebadd619e37a1c3a58f04ebeb133ea3a655c3e32f20ba09f53cf8b74ee2a54&amp;width=600&amp;height=400&amp;quality=80&amp;smart=true\" aria-haspopup=\"true\" data-photo-viewer-index=\"0\" rel=\"nofollow noopener\" target=\"_blank\">Open this photo in gallery:<\/a><\/p>\n<p class=\"figcap-text\">Anglo American\u2019s acquisition of Teck Resources can\u2019t proceed unless Industry Minister M\u00e9lanie Joly deems it to be of net economic benefit to the country, and not a national security threat.Spencer Colby\/The Canadian Press<\/p>\n<p class=\"c-article-body__text text-pr-5\">Ottawa is pushing Anglo American PLC <a href=\"https:\/\/www.theglobeandmail.com\/investing\/markets\/stocks\/NGLOY\/\" target=\"_blank\" rel=\"noreferrer nofollow noopener\" title=\"https:\/\/www.theglobeandmail.com\/investing\/markets\/stocks\/NGLOY\/\">NGLOY<\/a> to redomicile to Canada as it reviews the British miner\u2019s proposed acquisition of Teck Resources Ltd. <a href=\"https:\/\/www.theglobeandmail.com\/investing\/markets\/stocks\/TECK-B-T\/\" target=\"_blank\" rel=\"noreferrer nofollow noopener\" title=\"https:\/\/www.theglobeandmail.com\/investing\/markets\/stocks\/TECK-B-T\/\">TECK-B-T<\/a>, two sources familiar with the matter told The Globe and Mail. <\/p>\n<p class=\"c-article-body__text text-pr-5\">Anglo in September <a href=\"https:\/\/www.theglobeandmail.com\/business\/article-teck-resources-anglo-american-merger\/\" target=\"_blank\" rel=\"noreferrer nofollow noopener\" title=\"https:\/\/www.theglobeandmail.com\/business\/article-teck-resources-anglo-american-merger\/\">announced<\/a> an all-stock acquisition of Vancouver-based Teck worth about $20-billion. But the deal can\u2019t proceed unless Industry Minister M\u00e9lanie Joly deems it to be of net economic benefit to Canada. She must also determine that it does not pose a national security threat. <\/p>\n<p class=\"c-article-body__text text-pr-5\">Approving the acquisition of Teck, one of Canada\u2019s biggest critical minerals companies, is politically fraught. Ottawa over the past few decades has allowed foreign companies \u2212 such as Vale SA of Brazil, Glencore PLC of Switzerland, and Anglo-Australian giant Rio Tinto PLC \u2212 to acquire many of Canada\u2019s biggest miners. That has left the sector hollowed out at a time when Prime Minister Mark Carney is emphasizing how entwined a strong critical minerals industry is with Canada\u2019s sovereignty.<\/p>\n<p class=\"c-article-body__text mv-16 l-inset text-pb-8\" data-sophi-feature=\"interstitial\"><a href=\"https:\/\/www.theglobeandmail.com\/business\/article-teck-resources-anglo-american-mark-carney-mining-deal\/\" rel=\"nofollow noopener\" target=\"_blank\">Carney told Anglo American to move headquarters to Canada for Teck deal approval, sources say<\/a><\/p>\n<p class=\"c-article-body__text text-pr-5\">London-based Anglo has already made several major commitments in an attempt to win approval from the federal government. It has promised to move its global headquarters to Vancouver from London, rename itself Anglo Teck, and to relocate many of its high-ranking personnel to Canada, including chief executive officer Duncan Wanblad and chief financial officer John Heasley.<\/p>\n<p class=\"c-article-body__text text-pr-5\">The sources said Ottawa is not satisfied with those commitments and also wants Anglo to redomicile to Canada, which would effectively make it a Canadian company.<\/p>\n<p class=\"c-article-body__text text-pr-5\">If Anglo agrees to redomicile, its legal home would be Canada, not Britain. It would be subject to Canada\u2019s tax code, Canada\u2019s financial reporting rules, and Canada\u2019s regulations around mergers and acquisitions, all three of which differ markedly from Britain\u2019s. <\/p>\n<p class=\"c-article-body__text text-pr-5\">In addition, the sources said the government wants Anglo to move its primary stock listing from London to the Toronto Stock Exchange.<\/p>\n<p class=\"c-article-body__text text-pr-5\">The Globe is not identifying the sources because they are not authorized to speak publicly.<\/p>\n<p class=\"c-article-body__text text-pr-5\">Both Anglo-American and Teck declined to comment. <\/p>\n<p class=\"c-article-body__text text-pr-5\">Anglo has already signalled publicly that both of Ottawa\u2019s petitions are not things it is willing to bend on. <\/p>\n<p class=\"c-article-body__text text-pr-5\">In <a href=\"http:\/\/theglobeandmail.com\/business\/article-anglo-american-ceo-rules-out-redomiciling-to-canada-as-ottawa-pushes\/\" target=\"_blank\" rel=\"noreferrer nofollow noopener\" title=\"http:\/\/theglobeandmail.com\/business\/article-anglo-american-ceo-rules-out-redomiciling-to-canada-as-ottawa-pushes\/\">an interview with The Globe<\/a> in September, Anglo\u2019s South African CEO, Mr. Wanblad, made it clear that the company isn\u2019t willing to relocate its legal home to Canada, or move its main stock listing to Toronto. <\/p>\n<p class=\"c-article-body__text text-pr-5\">\u201cLondon is very good for what it is that we\u2019re trying to do here,\u201d he said.<\/p>\n<p class=\"c-article-body__text mv-16 l-inset text-pb-8\" data-sophi-feature=\"interstitial\"><a href=\"https:\/\/www.theglobeandmail.com\/business\/article-anglo-american-teck-resources-merger-south-africa\/\" rel=\"nofollow noopener\" target=\"_blank\">Anglo Teck merger is end of an era for the company that dominated South Africa<\/a><\/p>\n<p class=\"c-article-body__text text-pr-5\">Anglo plans to maintain its primary stock listing on the London Stock Exchange and its secondary listing on the Johannesburg Stock Exchange. It plans to seek additional listings on the Toronto Stock Exchange and the New York Stock Exchange.<\/p>\n<p class=\"c-article-body__text text-pr-5\">Several prominent Canadian mining industry stakeholders have pushed back hard on Canada potentially losing yet another big domestic mining and metals company to a foreign predator. <\/p>\n<p class=\"c-article-body__text text-pr-5\">Pierre Lassonde, co-founder of Franco-Nevada Corp., told The Globe on the day the Anglo acquisition of Teck was announced that deal is a <a href=\"https:\/\/www.theglobeandmail.com\/business\/article-teck-resources-anglo-american-merger\/\" rel=\"nofollow noopener\" title=\"https:\/\/www.theglobeandmail.com\/business\/article-teck-resources-anglo-american-merger\/\" target=\"_blank\">tragedy for the Canadian mining industry<\/a>.<\/p>\n<p class=\"c-article-body__text text-pr-5\">Over the past few decades, many storied Canadian companies have been swallowed up by foreigners, including, Alcan Inc., Falconbridge Ltd. and Inco Ltd. <\/p>\n<p class=\"c-article-body__text text-pr-5\">Teck itself already sold a major part of its business to a foreign miner. In 2024, Glencore acquired 77 per cent of Teck\u2019s legacy coal mining business for US$6.9-billion. Teck sold the remaining 23 per cent to Japan\u2019s Nippon Steel and South Korea\u2019s POSCO.<\/p>\n<p class=\"c-article-body__text text-pr-5\">Proposed acquisitions of Canadian critical minerals companies by foreign entities have become increasingly sensitive over the past few years because of the broader geopolitical climate, including China\u2019s rise to global dominance in the industry. Earlier this year, China temporarily restricted the export of certain rare earth minerals to the U.S. as the two superpowers engaged in a trade war. <\/p>\n<p class=\"c-article-body__text text-pr-5\">After Ottawa approved Glencore\u2019s acquisition of a majority stake in Teck\u2019s coal business, then-industry minister Fran\u00e7ois-Philippe Champagne said the government would approve foreign acquisitions of big Canadian critical minerals companies only \u201cin the most exceptional of circumstances.\u201d<\/p>\n<p class=\"c-article-body__text mv-16 l-inset text-pb-8\" data-sophi-feature=\"interstitial\"><a href=\"https:\/\/www.theglobeandmail.com\/business\/article-teck-seeks-to-ease-investor-concerns-around-copper-joint-venture-with\/\" rel=\"nofollow noopener\" target=\"_blank\">Teck seeks to ease investor concerns around copper joint venture with Anglo as shareholder vote looms<\/a><\/p>\n<p class=\"c-article-body__text text-pr-5\">Shortly after the Anglo takeover of Teck was announced, Ms. Joly told The Globe and Mail that <a href=\"https:\/\/www.theglobeandmail.com\/business\/article-melanie-joly-teck-resources-anglo-american-mining-takeover\/\" rel=\"nofollow noopener\" title=\"https:\/\/www.theglobeandmail.com\/business\/article-melanie-joly-teck-resources-anglo-american-mining-takeover\/\" target=\"_blank\">promises made by Anglo didn\u2019t go far enough.<\/a><\/p>\n<p class=\"c-article-body__text text-pr-5\">Ottawa\u2019s review of the Anglo acquisition of Teck is expected to continue well into 2026.<\/p>\n<p class=\"c-article-body__text text-pr-5\">Next month shareholders at both Anglo and Teck will meet to vote on the deal. At least two thirds of votes cast by Teck shareholders must be in favour for the deal to pass. <\/p>\n<p class=\"c-article-body__text text-pr-5\">The Globe last week reported that <a href=\"https:\/\/www.theglobeandmail.com\/business\/article-teck-vale-base-metals-anglo-american-merger-deal\/\" rel=\"nofollow noopener\" title=\"https:\/\/www.theglobeandmail.com\/business\/article-teck-vale-base-metals-anglo-american-merger-deal\/\" target=\"_blank\">Teck held talks with Vale Base Metals Ltd.,<\/a> the critical minerals arm of Vale, before agreeing to an acquisition by Anglo.<\/p>\n<p class=\"c-article-body__text text-pr-5\">Unlike Anglo, Vale Base Metals already has significant operations in Canada. It is based in Toronto.
