The bid is led by David Ellison, son of the tech billionaire Larry Ellison \u2013 a prominent Donald Trump supporter and Republican donor. Netflix had already prevailed over Paramount in a previous bidding competition for the purchase, but Trump announced on Sunday that he would \u201cbe involved\u201d in his <a href=\"https:\/\/www.nbcnews.com\/news\/us-news\/trump-says-netflix-warner-bros-deal-problem-will-involved-approval-rcna247923\" data-link-name=\"in body link\" rel=\"nofollow noopener\" target=\"_blank\">administration\u2019s review<\/a> of the Netflix deal. The president suggested the sale \u201ccould be a problem\u201d because Netflix is already dominant in the US streaming market.<\/p>\n<p class=\"dcr-130mj7b\">Paramount left out a significant fact in the <a href=\"https:\/\/ir.paramount.com\/news-releases\/news-release-details\/paramount-launches-all-cash-tender-offer-acquire-warner-bros\" data-link-name=\"in body link\" rel=\"nofollow noopener\" target=\"_blank\">press release<\/a> announcing its offer: the bid includes funding from the private equity firm owned by Jared Kushner, the president\u2019s son-in-law, as well as <a href=\"https:\/\/www.americanprogress.org\/article\/trumps-gulf-interests-conflict-with-the-interests-of-the-american-people\/\" data-link-name=\"in body link\" rel=\"nofollow noopener\" target=\"_blank\">three Arab monarchies<\/a>, Saudi Arabia, Qatar and the United Arab Emirates, which collectively have billions of dollars in <a href=\"https:\/\/www.wsj.com\/politics\/policy\/trump-organization-expansion-4998172b\" data-link-name=\"in body link\" rel=\"nofollow noopener\" target=\"_blank\">ongoing ventures<\/a> involving the <a href=\"https:\/\/www.nytimes.com\/2025\/05\/05\/us\/politics\/eric-donald-jr-trump-family-deals.html\" data-link-name=\"in body link\" rel=\"nofollow noopener\" target=\"_blank\">Trump family business<\/a>. Those details were buried in required <a href=\"https:\/\/www.sec.gov\/Archives\/edgar\/data\/1437107\/000119312525310708\/d92876dex99a1a.htm\" data-link-name=\"in body link\" rel=\"nofollow noopener\" target=\"_blank\">paperwork filed<\/a> with the <a href=\"https:\/\/www.theguardian.com\/business\/securities-and-exchange-commission\" data-link-name=\"in body link\" rel=\"nofollow noopener\" target=\"_blank\">Securities and Exchange Commission<\/a>.<\/p>\n<p class=\"dcr-130mj7b\">In an <a href=\"https:\/\/www.cnbc.com\/2025\/12\/08\/paramount-skydance-hostile-bid-wbd-netflix.html\" data-link-name=\"in body link\" rel=\"nofollow noopener\" target=\"_blank\">interview with CNBC<\/a> on Monday, David Ellison, Paramount\u2019s CEO, argued that his company\u2019s offer would face less scrutiny from US regulators because Paramount is smaller than Netflix and has a friendly relationship with the Trump administration. In the president\u2019s transactional and often corrupt approach to governance, it also certainly helps that Paramount\u2019s bid directly involves Kushner and the Arab petrostates that have struck lucrative <a href=\"https:\/\/www.nytimes.com\/2025\/05\/05\/us\/politics\/eric-donald-jr-trump-family-deals.html\" data-link-name=\"in body link\" rel=\"nofollow noopener\" target=\"_blank\">business deals<\/a> with the Trump Organization.<\/p>\n<p class=\"dcr-130mj7b\">Presidents are not meant <a href=\"https:\/\/www.nytimes.com\/2025\/12\/09\/us\/politics\/trump-warner-bros.html\" data-link-name=\"in body link\" rel=\"nofollow noopener\" target=\"_blank\">to exert influence<\/a> over the US regulators who review corporate mergers, but Trump is disdainful of most precedents that seek to limit presidential power and he has <a href=\"https:\/\/www.cnn.com\/2025\/12\/08\/media\/netflix-warner-bros-trump\" data-link-name=\"in body link\" rel=\"nofollow noopener\" target=\"_blank\">inserted himself<\/a> into the Warner Bros negotiations. It\u2019s also the latest example of Trump using his vast power to enrich his family and supporters through his personalized politics, where he blurs government and business interests. In Trump\u2019s world, personal access is more important than institutional process \u2013 a system favored by many authoritarian leaders.<\/p>\n<p class=\"dcr-130mj7b\">Kushner\u2019s involvement in the Paramount offer is troubling because of his significant foreign financial dealings, especially with the <a href=\"https:\/\/www.reuters.com\/business\/finance\/kushners-affinitys-assets-jump-48-billion-after-gulf-cash-injection-2025-03-28\/\" data-link-name=\"in body link\" rel=\"nofollow noopener\" target=\"_blank\">three autocratic Arab states<\/a> that have invested billions of dollars since 2021 to enable him to launch and expand his private equity firm, Affinity Partners. (As of March 2024, <a href=\"https:\/\/www.nytimes.com\/2024\/04\/09\/us\/politics\/jared-kushner-affinity-partners.html\" data-link-name=\"in body link\" rel=\"nofollow noopener\" target=\"_blank\">nearly 99%<\/a> of the $3bn his fund had at the time came from foreign sources.) After serving as a senior White House adviser in Trump\u2019s first term, Kushner declined to take an official role in the second Trump administration, <a href=\"https:\/\/edition.cnn.com\/2024\/02\/14\/politics\/jared-kushner-trump-second-term\" data-link-name=\"in body link\" rel=\"nofollow noopener\" target=\"_blank\">saying he wanted<\/a> to focus on running his business and to avoid the appearance of a conflict of interest. But since September, Kushner has resurfaced as a high-level, yet unofficial, peace envoy for Trump, first helping broker a ceasefire between Israel and Hamas in Gaza, and more recently at the center of negotiations to end the war between Russia and Ukraine.<\/p>\n<p class=\"dcr-130mj7b\">Unlike during Trump\u2019s first term, Kushner has avoided becoming a lightning rod of criticism for the administration \u2013 and most scrutiny of his personal and financial ties to foreign leaders, especially Saudi Arabia\u2019s crown prince, <a href=\"https:\/\/www.theguardian.com\/world\/mohammed-bin-salman\" data-link-name=\"in body link\" rel=\"nofollow noopener\" target=\"_blank\">Mohammed bin Salman<\/a>. Even though he does not hold any government position, Kushner has been acting as one of America\u2019s most powerful diplomats, with a direct line to his father-in-law. And the deals Kushner is negotiating on behalf of the US government can overlap with his business interests, with little consequence since he is operating as a private citizen. For example, the Gaza agreement that Kushner helped broker includes a framework for <a href=\"https:\/\/www.iris-france.org\/en\/the-trump-plan-for-gaza-what-role-and-position-for-the-arab-states-of-the-middle-east\/\" data-link-name=\"in body link\" rel=\"nofollow noopener\" target=\"_blank\">postwar reconstruction<\/a> which will probably involve the three Arab states \u2013 Saudi Arabia, Qatar and the UAE \u2013 that are the main financial backers of Affinity Partners.<\/p>\n<p class=\"dcr-130mj7b\">The same three countries, through their sovereign wealth funds and other entities, <a href=\"https:\/\/www.reuters.com\/business\/finance\/hollywood-hungry-gulf-states-bankroll-paramounts-warner-bros-bid-2025-12-09\/\" data-link-name=\"in body link\" rel=\"nofollow noopener\" target=\"_blank\">are now part<\/a> of Paramount\u2019s hostile takeover bid of Warner Bros. And Kushner is once again at the center of an international business deal that will ultimately require the Trump administration\u2019s approval.<\/p>\n<p class=\"dcr-130mj7b\">Aside from pressuring regulators to take a hard line while reviewing the rival Netflix offer, Trump and his aides could tip the scales in Paramount\u2019s favor in other ways: they can dismiss concerns about the Middle Eastern funds that are part of Paramount\u2019s bid. Together, the three funds controlled by the Saudi, Qatari and UAE governments pledged to <a href=\"https:\/\/www.reuters.com\/commentary\/breakingviews\/gulf-paramount-bets-logic-is-mostly-non-financial-2025-12-09\/\" data-link-name=\"in body link\" rel=\"nofollow noopener\" target=\"_blank\">contribute $24bn<\/a> toward the deal, providing nearly three-fifths of the $40.7bn in total equity outlined <a href=\"https:\/\/ir.paramount.com\/static-files\/cf3a70b0-5fd8-493f-aed5-970f40cf1515\" data-link-name=\"in body link\" rel=\"nofollow noopener\" target=\"_blank\">in Paramount\u2019s bid<\/a>. Normally, that would give these three players a majority stake in the new company \u2013 and would trigger a review by the Committee on Foreign Investment in the US, a panel of federal regulators that evaluates large foreign investments for potential national security risks.<\/p>\n<p class=\"dcr-130mj7b\">Paramount insists that the three foreign funds, along with Kushner\u2019s investment firm, have agreed to <a href=\"https:\/\/deadline.com\/2025\/12\/paramount-warner-bros-bid-jared-kushner-middle-east-funds-1236642045\/\" data-link-name=\"in body link\" rel=\"nofollow noopener\" target=\"_blank\">waive their governance rights<\/a> in the newly merged company, including appointing board members. Paramount argues that means the arrangement poses no national security concerns and does not need to be examined by the Committee on Foreign Investment. But the panel, which is made up of various <a href=\"https:\/\/home.treasury.gov\/policy-issues\/international\/the-committee-on-foreign-investment-in-the-united-states-cfius\/cfius-overview\" data-link-name=\"in body link\" rel=\"nofollow noopener\" target=\"_blank\">government agencies<\/a> including the homeland security, justice and treasury departments, can still decide to investigate whether the deal poses a threat of increased foreign control of US media assets.<\/p>\n<p class=\"dcr-130mj7b\">Several Democrats in Congress are rightfully raising the alarm about Kushner\u2019s role in the Paramount bid and the potential for foreign influence, especially if the Trump administration pressures regulators to avoid evaluating the role of foreign funding. As Elizabeth Warren, the top Democrat on the Senate banking committee and a longtime antitrust crusader, <a href=\"https:\/\/www.warren.senate.gov\/newsroom\/press-releases\/warren-on-paramount-skydance-hostile-bid-five-alarm-antitrust-fire\" data-link-name=\"in body link\" rel=\"nofollow noopener\" target=\"_blank\">put it<\/a>: US officials must judge the deal \u201cbased on the law and facts, not who sucked up the most to Donald Trump\u201d.<\/p>\n<p class=\"dcr-130mj7b\">Kushner is already involved in another foreign deal that must be reviewed by the Committee on Foreign Investment. In late September, as he was helping negotiate the Gaza ceasefire, Kushner and the Saudi sovereign wealth fund announced that they had reached a $55bn <a href=\"https:\/\/www.theguardian.com\/business\/2025\/sep\/29\/ea-video-game-buyout\" data-link-name=\"in body link\" rel=\"nofollow noopener\" target=\"_blank\">agreement to acquire<\/a> Electronic Arts, a US-based video game publisher that specializes in sports gaming. The acquisition aligns with Saudi Arabia\u2019s recent strategy of buying global sports assets, including soccer teams and other franchises. But the Saudi fund\u2019s previous investments in US sports prompted a <a href=\"https:\/\/thehill.com\/homenews\/senate\/4202232-democrat-subpoenas-saudi-arabias-public-investment-fund-over-liv-golf-pga-tour\/\" data-link-name=\"in body link\" rel=\"nofollow noopener\" target=\"_blank\">congressional investigation<\/a> in 2023 into foreign funding, particularly of the Saudi-backed LIV Golf league.<\/p>\n<p class=\"dcr-130mj7b\">While the Electronic Arts offer is supposed to undergo a formal review by the Committee on Foreign Investment, Kushner\u2019s role is likely to <a href=\"https:\/\/www.lawfaremedia.org\/article\/the-cfius-review-that-will-never-be\" data-link-name=\"in body link\" rel=\"nofollow noopener\" target=\"_blank\">ease its passage<\/a> through that panel and with other US regulators. And so far there is little resistance in Congress, aside from calls for <a href=\"https:\/\/www.blumenthal.senate.gov\/newsroom\/press\/release\/blumenthal-and-warren-sound-alarm-on-acquisition-of-american-video-game-producer-by-saudi-arabias-sovereign-wealth-fund_jared-kushners-investment-firm\" data-link-name=\"in body link\" rel=\"nofollow noopener\" target=\"_blank\">an investigation<\/a> by Warren and Richard Blumenthal, a fellow Democrat in the Senate.<\/p>\n<p class=\"dcr-130mj7b\">Beyond the involvement of Kushner\u2019s firm and Arab states that do business with the Trump family, the Paramount deal appeals to Trump\u2019s transactional interests in another way: if Paramount succeeds in taking over <a href=\"https:\/\/www.theguardian.com\/film\/warner-bros\" data-link-name=\"in body link\" data-component=\"auto-linked-tag\" rel=\"nofollow noopener\" target=\"_blank\">Warner Bros<\/a>, it could lead to a CNN network that is more sympathetic to Trump and his Maga movement ahead of crucial midterm elections next year.<\/p>\n<p class=\"dcr-130mj7b\">Trump has made clear that he <a href=\"https:\/\/newrepublic.com\/post\/204121\/trump-paramount-hostile-bid-warner-bros-discovery\" data-link-name=\"in body link\" rel=\"nofollow noopener\" target=\"_blank\">prefers Paramount<\/a>, where the Ellison family is the largest shareholder, to acquire Warner Bros, especially if it enabled the Ellisons to control CNN, which has been a thorn in Trump\u2019s side for years. Last month, the <a href=\"https:\/\/www.theguardian.com\/us-news\/2025\/nov\/20\/warner-bros-discovery-takeover-paramount-skydance-larry-ellison\" data-link-name=\"in body link\" rel=\"nofollow noopener\" target=\"_blank\">Guardian reported<\/a> that Larry Ellison, who is often in touch with senior White House officials, had discussed firing several CNN hosts that Trump loathes, including Erin Burnett and Brianna Keilar.<\/p>\n<p class=\"dcr-130mj7b\">The Ellisons have already shown deference to Trump since they took control of Paramount over the summer, and began making changes to one of its main media properties, CBS. In October, Paramount bought the Free Press, a conservative news website founded by Bari Weiss, for $150m and installed her <a href=\"https:\/\/www.theguardian.com\/media\/2025\/oct\/06\/bari-weiss-cbs-news-paramount-free-press\" data-link-name=\"in body link\" rel=\"nofollow noopener\" target=\"_blank\">as editor-in-chief<\/a> of CBS News, reporting directly to David Ellison. Weiss, a prominent critic of \u201cwoke culture\u201d, has led an overhaul of CBS News programming and teams, <a href=\"https:\/\/www.independent.co.uk\/news\/world\/americas\/cbs-news-layoffs-eight-women-b2855655.html\" data-link-name=\"in body link\" rel=\"nofollow noopener\" target=\"_blank\">including layoffs<\/a> that disbanded the network\u2019s race and culture unit.<\/p>\n<p class=\"dcr-130mj7b\">For the president, a successful Paramount takeover of Warner Bros could mean not only that his son-in-law and Arab allies are a crucial part of the deal, but it could also ensure that CNN\u2019s parent company has a Trump-friendly owner.
