Lululemon\u2019s CEO, Calvin McDonald, is leaving the company in January, and Mr. Wilson called the lack of clear succession planning a \u201ctotal failure of board oversight.\u201d<\/p>\n<p class=\"c-article-body__text mv-16 l-inset text-pb-8\" data-sophi-feature=\"interstitial\"><a href=\"https:\/\/www.theglobeandmail.com\/business\/article-lululemon-ceo-calvin-mcdonald-resignation-tariffs-stock\/\" rel=\"nofollow noopener\" target=\"_blank\">Why is Lululemon CEO Calvin McDonald stepping down?<\/a><\/p>\n<p class=\"c-article-body__text text-pr-5\">The letter instructs the company\u2019s leadership not to engage with media or investors, as the company may be subject to disclosure obligations. <\/p>\n<p class=\"c-article-body__text text-pr-5\">It also lists a few speaking points that leaders can use to answer questions from their teams. <\/p>\n<p class=\"c-article-body__text text-pr-5\">\u201cAs always, please remain focused on the opportunities ahead as we continue to take actions to accelerate our business and drive long-term, sustainable growth for Lululemon,\u201d Ms. Frank wrote.<\/p>\n<p class=\"c-article-body__text text-pr-5\">The letter follows a news release Monday, in which the company said it would evaluate potential director candidates and present formal recommendations in line with its governance policy. <\/p>\n<p class=\"c-article-body__text text-pr-5\">Also on Tuesday, Mr. Wilson filed documents with the U.S. Securities and Exchange Commission outlining his ownership in Lululemon.<\/p>\n<p class=\"c-article-body__text mv-16 l-inset text-pb-8\" data-sophi-feature=\"interstitial\"><a href=\"https:\/\/www.theglobeandmail.com\/business\/article-lululemon-elliott-investment-jane-nielsen-ralph-lauren-calvin-mcdonald\/\" rel=\"nofollow noopener\" target=\"_blank\">Elliott Investment takes $1-billion stake in Lululemon, pushes for new CEO<\/a><\/p>\n<p class=\"c-article-body__text text-pr-5\">Mr. Wilson holds a small amount of stock directly \u2013 3,853 shares \u2013 but he effectively controls about 9.9 million shares through various entities and family trusts, which include investment holding companies Anamered Investments Inc., a British Virgin Islands corporation, LIPO Investments (USA) Inc., based in British Columbia, and shares owned by his spouse, Shannon Wilson. <\/p>\n<p class=\"c-article-body__text text-pr-5\">Mr. Wilson\u2019s holdings include about 5.1 million exchangeable shares, which can be redeemed for shares of Lulu Canadian Holding Inc., a wholly-owned subsidiary of Lululemon, and each one equivalent to a Lululemon common share. <\/p>\n<p class=\"c-article-body__text text-pr-5\">Mr. Wilson\u2019s ownership represents about 8.8 per cent of the total shares outstanding as of Dec 5.
