The SpaceX CEO has <a href=\"https:\/\/www.pv-magazine.com\/2026\/01\/26\/musk-at-wef-solar-space-based-ai-data-centers-possible-in-two-to-three-years\/?utm_source=chatgpt.com\" rel=\"nofollow noopener\" target=\"_blank\">said<\/a> that building AI data centers in space is a \u201cno brainer,\u201d and that it would be the cheapest place to put AI within two to three years. But the company\u2019s pre-IPO filing presents a much more conservative outlook.<\/p>\n<p>SpaceX is preparing to make what could be the largest initial public offering in history, <a href=\"https:\/\/www.cnbc.com\/2026\/04\/01\/spacex-confidentially-files-for-ipo-setting-stage-for-record-offering.html\" rel=\"nofollow noopener\" target=\"_blank\">targeting<\/a> a valuation of roughly $1.75 trillion with a $75 billion raise. The U.S. Securities and Exchange Commission (SEC) requires companies to submit an S-1 statement before going public, in part to inform potential investors of the risks. SpaceX\u2019s S-1 filing, <a href=\"https:\/\/www.reuters.com\/world\/spacex-says-unproven-ai-space-data-centers-may-not-be-commercially-viable-filing-2026-04-21\/\" rel=\"nofollow noopener\" target=\"_blank\">reviewed<\/a> by Reuters, reportedly admits that orbital data centers may never be commercially viable.<\/p>\n<p>\u201cOur initiatives to develop orbital \u200bAI compute and in-orbit, lunar, and interplanetary industrialization are in early stages, involve significant technical complexity and unproven technologies, and may not achieve commercial viability,\u201d the filing states, according to Reuters.<\/p>\n<p>Gizmodo was unable to view the document or verify its contents, and SpaceX did not respond to a request for comment by the time of publication.<\/p>\n<p> Reality check <\/p>\n<p>This cautious filing is a far cry from the <a href=\"https:\/\/gizmodo.com\/elon-musk-is-convinced-he-can-turn-low-earth-orbit-into-a-gigantic-data-center-2000716711\" rel=\"nofollow noopener\" target=\"_blank\">lofty ambitions SpaceX outlined in a late-January FCC application<\/a>. The company requested permission to launch an orbital data center constellation of up to 1 million Starlink satellites, claiming that harnessing the \u201cnear-constant\u201d solar power available in orbit will reduce operating costs, energy demands, and the environmental impacts associated with terrestrial data centers.<\/p>\n<p>\u201cLaunching a constellation of a million satellites that operate as orbital data centers is a first step toward becoming a Kardashev Type II civilization\u2014one that can harness the Sun\u2019s full power\u2014while supporting AI-driven applications for billions of people today and ensuring humanity\u2019s multiplanetary future among the stars,\u201d the application <a href=\"https:\/\/spacenews.com\/spacex-files-plans-for-million-satellite-orbital-data-center-constellation\/\" rel=\"nofollow noopener\" target=\"_blank\">stated<\/a>, according to SpaceNews.<\/p>\n<p>Of course, a key purpose of an S-1 is to disclose risks to investors, so it\u2019s not surprising to see a more cautious tone emerge in the pre-IPO filing. Beyond questions of commercial viability, SpaceX acknowledges major technical hurdles, warning investors that any future orbital data centers will operate \u201cin the harsh and unpredictable environment of space, exposing them to a wide and unique range of space-related risks that could cause them to malfunction or fail.\u201d<\/p>\n<p>Indeed, <a href=\"https:\/\/www.technologyreview.com\/2026\/04\/03\/1135073\/four-things-wed-need-to-put-data-centers-in-space\/\" rel=\"nofollow noopener\" target=\"_blank\">scientists<\/a>, <a href=\"https:\/\/www.scientificamerican.com\/article\/spacex-plans-to-launch-one-million-satellites-to-power-orbital-ai-data\/\" rel=\"nofollow noopener\" target=\"_blank\">satellite experts<\/a>, and <a href=\"https:\/\/gizmodo.com\/feds-to-amazon-quit-whining-about-spacex-and-launch-some-damn-satellites-2000732883\" rel=\"nofollow noopener\" target=\"_blank\">SpaceX competitors<\/a> have openly criticized the plans outlined in the FCC application, arguing that current technology and capabilities are not sufficient to build and operate orbital data centers\u2014much less a constellation of 1 million. For SpaceX, part of the problem is that the satellites and the rocket it would use to launch them aren\u2019t even ready yet.<\/p>\n<p>Musk has <a href=\"https:\/\/x.com\/elonmusk\/status\/1984249048107508061\" rel=\"nofollow\">said<\/a> that SpaceX could build orbital data centers by \u201csimply scaling up Starlink V3 satellites,\u201d which the company has yet to debut. SpaceX will launch them using its Starship rocket, which has yet to demonstrate the full rapid reusability and launch cadence that building an orbital data center would require.<\/p>\n<p>\u201cAny failure or delay in the development of Starship at scale or in achieving the required launch cadence, reusability and capabilities thereof would \u2060delay \u200bor limit our ability to execute our growth strategy,\u201d the S-1 filing \u200breportedly states.<\/p>\n<p>It\u2019s refreshing to see SpaceX finally acknowledge the enormous challenges and risks that stand in the way of its orbital data center dream. There\u2019s a chance this could scare away some prospective investors, but at the end of the day, SpaceX\u2019s longstanding dominance over the commercial launch industry and <a href=\"https:\/\/gizmodo.com\/spacex-obtains-option-to-buy-cursor-for-60-billion-2000749354\" rel=\"nofollow noopener\" target=\"_blank\">willingness to venture into the booming AI market<\/a> still <a href=\"https:\/\/gizmodo.com\/should-i-invest-in-spacex-2000710874\" rel=\"nofollow noopener\" target=\"_blank\">make it an attractive investment<\/a>.<\/p>\n<p>Whether the risks will outweigh the potential rewards remains to be seen.<\/p>\n","protected":false},"excerpt":{"rendered":"For more than a year, Elon Musk has been prophesying a new era for AI.
