href=\"https:\/\/www.theglobeandmail.com\/investing\/markets\/stocks\/VTLE\/\" target=\"_self\" rel=\"nofollow noopener\" title=\"https:\/\/www.theglobeandmail.com\/investing\/markets\/stocks\/VTLE\/\">VTLE-N<\/a> in an all-stock deal valued at US$3.1-billion, including debt.<\/p>\n<p class=\"c-article-body__text text-pr-5\">The deal highlights how some U.S. companies are pursuing scale at a time when mergers and acquisitions in the shale industry slowed in the second quarter due to volatility in the energy and equity markets.<\/p>\n<p class=\"c-article-body__text text-pr-5\">Vital shareholders will receive 1.9062 shares of Crescent common stock for each share held, representing an offer valued at US$18.95 per share and a premium of 20 per cent, based on the stocks\u2019 last close.<\/p>\n<p class=\"c-article-body__text mv-16 l-inset text-pb-8\" data-sophi-feature=\"interstitial\"><a href=\"https:\/\/www.theglobeandmail.com\/business\/article-cenovus-meg-energy-purchase-strathcona\/\" rel=\"nofollow noopener\" target=\"_blank\">Cenovus to buy MEG Energy in nearly $7-billion deal<\/a><\/p>\n<p class=\"c-article-body__text mv-16 l-inset text-pb-8\" data-sophi-feature=\"interstitial\"><a was down 2.9 per cent in premarket trading.<\/p>\n<p class=\"c-article-body__text text-pr-5\">Reuters had on Friday, after markets closed, reported on the deal talks, citing people familiar with the matter.<\/p>\n<p class=\"c-article-body__text text-pr-5\">The merger will create one of the 10 largest independent <a href=\"https:\/\/www.theglobeandmail.com\/topics\/oil-and-gas\/\" target=\"_self\" rel=\"nofollow noopener\" title=\"https:\/\/www.theglobeandmail.com\/topics\/oil-and-gas\/\">oil and gas<\/a> producers in the U.S., with positions across the Eagle Ford, Permian and Uinta basins and more than a decade of drilling inventory, the companies said.<\/p>\n<p class=\"c-article-body__text text-pr-5\">The deal, expected to close by the end of 2025, will generate US$90-million to US$100-million in immediate annual synergies and will boost cash flow per share.<\/p>\n<p class=\"c-article-body__text text-pr-5\">Crescent said it has also lined up a US$1-billion pipeline of non-core asset sales to help strengthen its balance sheet.<\/p>\n<p class=\"c-article-body__text text-pr-5\">Crescent shareholders will own about 77 per cent of the combined company and Vital
