{"id":314335,"date":"2026-02-24T07:38:09","date_gmt":"2026-02-24T07:38:09","guid":{"rendered":"https:\/\/www.newsbeep.com\/ie\/314335\/"},"modified":"2026-02-24T07:38:09","modified_gmt":"2026-02-24T07:38:09","slug":"sanae-takaichi-plans-japanese-cfius-to-tighten-economic-security","status":"publish","type":"post","link":"https:\/\/www.newsbeep.com\/ie\/314335\/","title":{"rendered":"Sanae Takaichi plans Japanese \u2018Cfius\u2019 to tighten economic security"},"content":{"rendered":"<p>Unlock the Editor\u2019s Digest for free<\/p>\n<p class=\"article__content-sign-up-topic-description o3-type-body-base\">Roula Khalaf, Editor of the FT, selects her favourite stories in this weekly newsletter.<\/p>\n<p>Japan is planning to tighten scrutiny of foreign investment, emulating the US with a new body to strengthen economic security that overseas companies and activist investors hope will streamline a complicated vetting process.<\/p>\n<p>Prime Minister Sanae Takaichi last week unveiled plans for a sweeping overhaul of <a href=\"https:\/\/www.ft.com\/japan\" title=\"\" data-trackable=\"link\" rel=\"nofollow noopener\" target=\"_blank\">Japan<\/a>\u2019s foreign investment screening system, which has long been accused of entangling buyout bids in months of paperwork.<\/p>\n<p>The new agency will be modelled on the Committee of Foreign Investment in the United States, which vets overseas investments for national security risks. The committee was central to former US president Joe Biden\u2019s attempt in 2024 to block <a href=\"https:\/\/www.ft.com\/content\/8e418327-4ba2-4afb-afec-b6a075921639\" title=\"\" data-trackable=\"link\" rel=\"nofollow noopener\" target=\"_blank\">Nippon Steel\u2019s acquisition<\/a> of US Steel.<\/p>\n<p>Takaichi\u2019s push to establish what she called a \u201cJapanese version of Cfius\u201d is one of the prime minister\u2019s <a href=\"https:\/\/www.ft.com\/content\/72e705b5-b635-4034-99ba-040c2d6fc694\" title=\"\" data-trackable=\"link\" rel=\"nofollow noopener\" target=\"_blank\">major policy priorities<\/a> after her landslide election win this month, alongside government-led stimulus and tax and budget reforms.<\/p>\n<p>It comes amid heightened concern in Japan about rising activist investor interest and the need to protect sensitive sectors and technologies from potentially harmful foreign interference, <a href=\"https:\/\/www.ft.com\/content\/ab9b38a7-7c7f-4177-808a-45b4d2b2aceb\" title=\"\" data-trackable=\"link\" rel=\"nofollow noopener\" target=\"_blank\">particularly from China<\/a>.<\/p>\n<p>It also fits closely with <a href=\"https:\/\/www.ft.com\/stream\/d6bcc67d-efe3-43d5-bfb1-ae88a2640dff\" title=\"\" data-trackable=\"link\" rel=\"nofollow noopener\" target=\"_blank\">Takaichi<\/a>\u2019s brand of nationalist populism, according to political analysts, as she seeks to project herself to voters and coalition allies as a muscular defender of Japan\u2019s national interests.<\/p>\n<p>Takaichi directly linked the move to her plans to establish a new national security agency, which will consolidate and strengthen intelligence and information gathering. A Japanese Cfius would \u201cstrengthen the security screening system for foreign investment\u201d, she said.<\/p>\n<p><img decoding=\"async\" src=\"https:\/\/www.newsbeep.com\/ie\/wp-content\/uploads\/2026\/02\/https:\/\/d1e00ek4ebabms.cloudfront.net\/production\/e59bf452-bd68-4113-bac0-08210574b330.jpg\" alt=\"A shopper inside a 7-Eleven convenience store, operated by Seven &amp; i Holdings Co, in Tokyo\" data-image-type=\"image\" width=\"2290\" height=\"1526\" loading=\"lazy\"\/>Seven &amp; i Holdings, the operator of 7-Eleven convenience stores, managed to fend off what would have been Japan\u2019s largest-ever foreign takeover last year \u00a9 Shiho Fukada\/Bloomberg<\/p>\n<p>Legal and financial experts said that while that it remained unclear whether the new body would lead to a significant number of deals being blocked, a more streamlined process would be welcome to many foreign investors, who have called for more efficiency and transparency. <\/p>\n<p>The current system, under the Foreign Exchange and Foreign Trade Act (FEFTA), is broadly overseen by the finance ministry. In practice, screening responsibilities are spread among the trade ministry, Financial Services Agency, Bank of Japan and the ministry overseeing the sector in which the target company operates.<\/p>\n<p>The result is a process that is time-consuming, difficult to navigate and prone to inconsistencies and delays, according to lawyers, bankers and fund managers.<\/p>\n<p>\u201cThere is a high noise to signal ratio in the current system,\u201d said Nels Hansen, a partner at law firm White &amp; Case in Tokyo. \u201cThe government agencies that have to vet the investments are often overwhelmed.\u201d<\/p>\n<p>That system has come under increasing strain in recent years as corporate Japan has seen a surge of interest from global corporations and activist hedge funds targeting companies they see as undervalued.<\/p>\n<p>Some buyout bids have run into national security concerns. Taiwanese components maker Yageo\u2019s hostile $465mn takeover of Japanese rival Shibaura Electronics was ultimately cleared last year, despite initial questions over the buyer\u2019s links to China.<\/p>\n<p>Meanwhile, Seven &amp; i Holdings, Japan\u2019s biggest convenience store chain, tried to deflect Canada\u2019s Alimentation Couche-Tard\u2019s <a href=\"https:\/\/www.ft.com\/content\/3311f06e-fe9c-4537-b9d0-d9d01e648a5c\" title=\"\" data-trackable=\"link\" rel=\"nofollow noopener\" target=\"_blank\">ultimately unsuccessful $46bn bid<\/a> \u2014 which would have been the country\u2019s biggest foreign takeover \u2014 in part by arguing that its network was part of national disaster response efforts.<\/p>\n<p>Japan previously strengthened FEFTA under pressure from the US during Donald Trump\u2019s first administration and in response to rising overseas Chinese investment in critical sectors.\u00a0In 2019, it significantly lowered the threshold at which foreign investors were obliged to notify authorities before buying stakes in listed Japanese companies in designated industries. <\/p>\n<p>The same reform also widened the definition of sensitive industries, and offered exemptions if investors refrained from proposing strategic changes to companies.<\/p>\n<p>Although Takaichi has yet to set out the exact shape of the new agency, senior officials said that it would be likely to take the form of a single committee to co-ordinate and streamline the process. <\/p>\n<p>The changes could have far-reaching consequences for how foreign investors approach Japan.<\/p>\n<p>\u201cInvestors think the current rules are very opaque and while non-Japanese investors are not explicitly prohibited, there is a sense of unspoken rules needing to be maintained,\u201d said Todd Kropp, a partner at KPMG in Tokyo.<\/p>\n<p class=\"n-content-recommended__title o3-type-body-highlight\">Recommended<\/p>\n<p><a href=\"https:\/\/www.ft.com\/content\/e3e9e2f7-5ff1-4526-add4-f21dbc19bc03\" data-trackable=\"image-link\" data-trackable-context-story-link=\"image-link\" tabindex=\"-1\" aria-hidden=\"true\" rel=\"nofollow noopener\" target=\"_blank\"><img decoding=\"async\" class=\"o-teaser__image\" src=\"https:\/\/www.newsbeep.com\/ie\/wp-content\/uploads\/2026\/02\/https:\/\/images.ft.com\/v3\/image\/raw\/https%3A%2F%2Fd1e00ek4ebabms.cloudfront.net%2Fproduction%2Fd82636.jpeg\" alt=\"Montage image of a cityscapes and the logos of Shimano, Japan Steel Works, Ajinomoto and Fujikura\"\/><\/a><\/p>\n<p>In a report, law firm Mori Hamada said some of the proposed measures included exempting \u201clower-risk categories of investment\u201d from the prior notification requirement.<\/p>\n<p>However, it added that the categories requiring notification could be widened, as there were concerns about whether \u201cinvestments in Japanese companies holding important technologies or information are adequately captured\u201d by the current system.<\/p>\n<p>A centralised system could in theory be more consistent, said M&amp;A lawyers, but they added as with Cfius, it would also grant the prime minister\u2019s office veto authority over takeovers.<\/p>\n<p>\u201cIf they change to something closer to Cfius in the US, it could mean having a more regularised and centralised process,\u201d said Jeremy White at Morrison Foerster, a law firm in Tokyo. \u201cCfius may have its issues, but it is transparent and investors know how to get through the process or not.\u201d<\/p>\n","protected":false},"excerpt":{"rendered":"Unlock the Editor\u2019s Digest for free Roula Khalaf, Editor of the FT, selects her favourite stories in this&hellip;\n","protected":false},"author":2,"featured_media":314336,"comment_status":"","ping_status":"","sticky":false,"template":"","format":"standard","meta":{"footnotes":""},"categories":[11],"tags":[72,113,61,60],"class_list":{"0":"post-314335","1":"post","2":"type-post","3":"status-publish","4":"format-standard","5":"has-post-thumbnail","7":"category-economy","8":"tag-business","9":"tag-economy","10":"tag-ie","11":"tag-ireland"},"_links":{"self":[{"href":"https:\/\/www.newsbeep.com\/ie\/wp-json\/wp\/v2\/posts\/314335","targetHints":{"allow":["GET"]}}],"collection":[{"href":"https:\/\/www.newsbeep.com\/ie\/wp-json\/wp\/v2\/posts"}],"about":[{"href":"https:\/\/www.newsbeep.com\/ie\/wp-json\/wp\/v2\/types\/post"}],"author":[{"embeddable":true,"href":"https:\/\/www.newsbeep.com\/ie\/wp-json\/wp\/v2\/users\/2"}],"replies":[{"embeddable":true,"href":"https:\/\/www.newsbeep.com\/ie\/wp-json\/wp\/v2\/comments?post=314335"}],"version-history":[{"count":0,"href":"https:\/\/www.newsbeep.com\/ie\/wp-json\/wp\/v2\/posts\/314335\/revisions"}],"wp:featuredmedia":[{"embeddable":true,"href":"https:\/\/www.newsbeep.com\/ie\/wp-json\/wp\/v2\/media\/314336"}],"wp:attachment":[{"href":"https:\/\/www.newsbeep.com\/ie\/wp-json\/wp\/v2\/media?parent=314335"}],"wp:term":[{"taxonomy":"category","embeddable":true,"href":"https:\/\/www.newsbeep.com\/ie\/wp-json\/wp\/v2\/categories?post=314335"},{"taxonomy":"post_tag","embeddable":true,"href":"https:\/\/www.newsbeep.com\/ie\/wp-json\/wp\/v2\/tags?post=314335"}],"curies":[{"name":"wp","href":"https:\/\/api.w.org\/{rel}","templated":true}]}}
