{"id":455195,"date":"2026-05-18T17:11:08","date_gmt":"2026-05-18T17:11:08","guid":{"rendered":"https:\/\/www.newsbeep.com\/ie\/455195\/"},"modified":"2026-05-18T17:11:08","modified_gmt":"2026-05-18T17:11:08","slug":"widow-loses-e1-7m-tax-battle-with-revenue-over-company-share-sale-the-irish-times","status":"publish","type":"post","link":"https:\/\/www.newsbeep.com\/ie\/455195\/","title":{"rendered":"Widow loses \u20ac1.7m tax battle with Revenue over company share sale \u2013 The Irish Times"},"content":{"rendered":"<p class=\"c-paragraph paywall \">A widow and former company shareholder who claimed that she owed no capital gains tax (CGT) on the sale of her \u20ac5.79 million shareholding in a firm has lost a \u20ac1.7 million tax battle with the <a href=\"https:\/\/www.irishtimes.com\/tags\/revenue-commissioners\" target=\"_self\" rel=\"nofollow noopener\" title=\"https:\/\/www.irishtimes.com\/tags\/revenue-commissioners\">Revenue Commissioners<\/a>.<\/p>\n<p class=\"c-paragraph paywall \">The <a href=\"https:\/\/www.irishtimes.com\/tags\/tax-appeals-commission\" target=\"_self\" rel=\"nofollow noopener\" title=\"https:\/\/www.irishtimes.com\/tags\/tax-appeals-commission\">Tax Appeals Commission (TAC)<\/a> found that an initial Revenue CGT bill of \u20ac1.77 million should be reduced to \u20ac1.67 million. It must be paid by the former shareholder arising from the \u20ac19.3 million company sale.<\/p>\n<p class=\"c-paragraph paywall \">Tax Appeals Commission rulings typically does not name individuals involved in its rulings. <\/p>\n<p class=\"c-paragraph paywall \">The woman had inherited the shareholding on the death of her husband who served as non-executive chairman at the firm and claimed that her CGT liability from the sale of her 30 per cent of the firm should be nil.<\/p>\n<p class=\"c-paragraph paywall \">This was on the basis of the woman declaring proceeds on the sale of only 5 per cent of the shares of \u20ac966,460 with an arising chargeable gain of \u20ac900,000. <\/p>\n<p class=\"c-paragraph paywall \">She also declared unused capital losses from prior periods of \u20ac1.02 million, resulting in no CGT liability. <\/p>\n<p class=\"c-paragraph paywall \">The remaining 25 per cent of the shares had been the subject of a share exchange, and therefore she did not consider that there was a liability to CGT in respect of their disposal.<\/p>\n<p class=\"c-paragraph paywall \">However, in an assessment issued in December 2023, Revenue dis-applied the share exchange on the 25 per cent shareholding, and issued an amended CGT assessment of \u20ac1.77 million.<\/p>\n<p class=\"c-paragraph paywall \">The woman appealed the Revenue assessment to the TAC in February 2024.<\/p>\n<p class=\"c-paragraph paywall \">At the hearing, counsel for Revenue said the appellant had originally claimed that she had carried out a bona fide commercial transaction by means of the share for share exchange with a Cypriot company.<\/p>\n<p class=\"c-paragraph paywall \">Counsel said this claim was withdrawn on the eve of the hearing, so it had been accepted by the appellant that the main purpose or one of the main purposes of the transaction was the avoidance of tax. <\/p>\n<p class=\"c-paragraph paywall \">Counsel also said the Appellant had claimed entrepreneurial relief, even though there was no evidence to support this claim and this too was dropped on the eve of the hearing.<\/p>\n<p class=\"c-paragraph paywall \">At the start of the hearing, counsel for the appellant confirmed the only issues proceeding were the correct valuation of the shares, and the claimed losses.<\/p>\n<p class=\"c-paragraph paywall \">In his findings, commissioner Simon Noone found the losses claimed by the appellant are disallowed.<\/p>\n<p class=\"c-paragraph paywall \">After finding the initial valuation of the appellant\u2019s 25 per cent shareholding was \u20ac380,000 at the date of valuation, Mr Noone reduced the Revenue assessment from \u20ac1.77 million to \u20ac1.67 million.<\/p>\n","protected":false},"excerpt":{"rendered":"A widow and former company shareholder who claimed that she owed no capital gains tax (CGT) on the&hellip;\n","protected":false},"author":2,"featured_media":455196,"comment_status":"","ping_status":"","sticky":false,"template":"","format":"standard","meta":{"footnotes":""},"categories":[5],"tags":[72,61,60,11522,173708],"class_list":["post-455195","post","type-post","status-publish","format-standard","has-post-thumbnail","category-business","tag-business","tag-ie","tag-ireland","tag-revenue-commissioners","tag-tax-appeals-commission"],"_links":{"self":[{"href":"https:\/\/www.newsbeep.com\/ie\/wp-json\/wp\/v2\/posts\/455195","targetHints":{"allow":["GET"]}}],"collection":[{"href":"https:\/\/www.newsbeep.com\/ie\/wp-json\/wp\/v2\/posts"}],"about":[{"href":"https:\/\/www.newsbeep.com\/ie\/wp-json\/wp\/v2\/types\/post"}],"author":[{"embeddable":true,"href":"https:\/\/www.newsbeep.com\/ie\/wp-json\/wp\/v2\/users\/2"}],"replies":[{"embeddable":true,"href":"https:\/\/www.newsbeep.com\/ie\/wp-json\/wp\/v2\/comments?post=455195"}],"version-history":[{"count":0,"href":"https:\/\/www.newsbeep.com\/ie\/wp-json\/wp\/v2\/posts\/455195\/revisions"}],"wp:featuredmedia":[{"embeddable":true,"href":"https:\/\/www.newsbeep.com\/ie\/wp-json\/wp\/v2\/media\/455196"}],"wp:attachment":[{"href":"https:\/\/www.newsbeep.com\/ie\/wp-json\/wp\/v2\/media?parent=455195"}],"wp:term":[{"taxonomy":"category","embeddable":true,"href":"https:\/\/www.newsbeep.com\/ie\/wp-json\/wp\/v2\/categories?post=455195"},{"taxonomy":"post_tag","embeddable":true,"href":"https:\/\/www.newsbeep.com\/ie\/wp-json\/wp\/v2\/tags?post=455195"}],"curies":[{"name":"wp","href":"https:\/\/api.w.org\/{rel}","templated":true}]}}
