Rocket Lab (NASDAQ:RKLB<\/a>) has fully financed its planned acquisition of Iridium Communications (<\/a>NASDAQ:IRDM<\/a>), removing one of the biggest uncertainties surrounding the transformative $8 billion deal while introducing a different consideration for shareholders: substantial equity dilution. The company raised roughly $1.94 billion by issuing 29.3 million shares and eliminated the need for a previously arranged $3.6 billion bridge loan. <\/p>\n

Rocket Lab provides launch services through Electron while building satellites, spacecraft components and the larger Neutron rocket. Buying Iridium would push the company much further downstream, adding a global satellite communications network, spectrum rights and recurring service revenue to Rocket Lab’s launch and manufacturing businesses. <\/p>\n

Rocket Lab said proceeds from its completed at-the-market offering, combined with available liquidity and Iridium’s existing financing, are sufficient to cover the required cash consideration and transaction expenses. <\/p>\n

Iridium also amended its $1.775 billion term-loan facility to permit the change of control. That debt can now remain outstanding after closing, supported by Iridium’s free cash flow and a Rocket Lab parent guarantee. Rocket Lab consequently terminated the $3.6 billion bridge facility, reducing refinancing risk ahead of the targeted mid-2027 closing. <\/p>\n

The strategic prize is significant. Rocket Lab agreed in June to acquire Iridium for $54 per share in cash and stock. Iridium generated $871.7 million of 2025 revenue and $495 million of OEBITDA, providing Rocket Lab with a profitable recurring-revenue business alongside its more capital-intensive launch operations. <\/p>\n

What Rocket Lab investors should watch next <\/p>\n

Financing certainty strengthens the deal thesis, but investors now need to weigh dilution and execution. <\/p>\n

The next major milestones are Iridium shareholder approval, remaining regulatory clearances including FCC consent, and progress toward the expected mid-2027 close. U.S. antitrust waiting periods have already expired. <\/p>\n

If Rocket Lab successfully integrates Iridium, the acquisition could accelerate its transition into an end-to-end space company with recurring communications cash flow.
