\n\tSky<\/a>\u2018s acquisition of ITV<\/a> has hit a roadblock as the U.K. culture secretary Lisa Nandy has officially issued an intervention notice.<\/p>\n

\n\tThe issuing of a public interest intervention notice means the U.K.\u2019s Competition and Markets Authority and media regulatory body Ofcom will both investigate the proposed acquisition. The CMA will scrutinize the deal from a jurisdictional and competition perspective and Ofcom in terms of public interest.<\/p>\n

\n\tBoth bodies have a deadline of Jan. 27 to report back after which Nandy will decide whether to instruct CMA to carry out a more detailed investigation.<\/p>\n

\n\tComcast-owned Sky announced earlier this year they were set to acquire public service broadcaster ITV<\/a> for $2.1 billion. The deal was only for the network and its proprietary streaming platform ITVX, resulting in the spinning off of its production arm, ITV Studios.<\/p>\n

\n\tNandy noted she did not see the need to issue a foreign state intervention notice.<\/p>\n

\n\t\u201cOn 15 October 2026 my Department wrote to Sky UK Limited and ITV plc to inform them I was minded to intervene in the anticipated merger between Sky UK Ltd and ITV Media & Entertainment Holdings Ltd under the Enterprise Act 2002 (\u201cthe Act\u201d) and inviting them to submit representations. Having fully considered their representations, I have decided to issue a Public Interest Intervention Notice (PIIN),\u201d Nandy has said.<\/p>\n

\n\tEarlier this year Nandy declined to issue a PIIN in Paramount\u2019s acquisition of Warner Bros. Discovery, despite a public plea from Benedict Cumberbatch, Benedict Wong and Alan Cumming<\/a>. <\/p>\n

\n\tHowever, the U.S. entities had a much smaller combined television market share in the U.K. than Sky and ITV, which are among the biggest broadcasters in the territory with a combined television advertising share of around 70%.<\/p>\n

\n\tBut former ITV chair Sir Peter Bazalgette told Variety earlier this year he believes the deal will ultimately go through<\/a>. \u201cThe reality of how the market operates is nothing to do with that,\u201d he said, pointing out the fragmentation of video advertising now across digital platforms such as YouTube, Meta and TikTok. When those are taken into account, Sky and ITV\u2019s joint share drops to around 20 to 30%.<\/p>\n

\n\tThere is also concern about the possibility of Sky combining its newsroom operations with ITV\u2019s after the latter\u2019s PSB license comes up for renewal at the end of 2034.<\/p>\n
