That award was granted in 2023 and linked to performance over three years. It is separate from the new R170 million share plan being presented to shareholders.

This distinction is important: the R36.4 million represents an incentive already earned under the previous scheme, while the R170 million figure is the current estimated value of the new performance-share award. The proposed shares would vest over six years only if the required conditions are met.

Shoprite said the new plan is intended to retain Engelbrecht while he oversees strategic and technological changes, strengthens the company’s leadership structure and manages an orderly succession process.

The company has delivered substantial growth under Engelbrecht. Group revenue increased by 7.1% to R274.8 billion ($15.85 billion) during the latest financial year, while trading profit rose by 8.4% to R16.2 billion ($935 million). Diluted headline earnings per share increased by 12.2%.

Shoprite declined to comment beyond its published remuneration report and annual meeting documents.

Vote tests South Africa’s new executive-pay rules

The dispute is one of the first major tests of amendments to South Africa’s Companies Act that took effect on 22 May 2026.

Public companies must now present their remuneration policies and annual remuneration reports for approval through ordinary shareholder resolutions. This has changed remuneration votes from largely advisory exercises into decisions carrying formal consequences.

If Shoprite’s remuneration report is rejected, the company must explain at its next annual meeting how it addressed shareholders’ concerns. Members of the remuneration committee may also be required to stand for re-election.

The proposed special share plan requires support from more than 50% of the votes cast.

Shoprite has historically received strong shareholder backing. Its 2025 remuneration implementation report attracted support from 95.61% of ordinary votes cast. Support stood at 74.3% in 2024, falling below the 75% level that triggered additional engagement with shareholders.

The approaching vote will therefore show whether opposition from major overseas pension funds and influential proxy advisers can translate into sufficient shareholder resistance to defeat the award.

It will also indicate how far global institutional investors are prepared to use South Africa’s new remuneration rules to challenge executive pay at the country’s largest listed companies.

Shoprite is asking shareholders to approve a special award of 525,000 performance shares to retain Engelbrecht and…

[14
72,176,61,60,174,175
post-674836","post","type-post","status-publish","format-standard","has-post-thumbnail","category-personal-finance","tag-business","tag-finance","tag-ie","tag-ireland","tag-personal-finance","tag-personalfinance
["GET
