Discovery"},"content":{"rendered":"<p class=\"paragraph larva \/\/ lrv-u-margin-lr-auto     \">\n\t<a data-id=\"1236726616\" data-type=\"post\" href=\"https:\/\/deadline.com\/2026\/02\/warner-bros-discovery-says-paramount-agreed-to-higher-offer-1236726616\/\" rel=\"nofollow noopener\" target=\"_blank\">It\u2019s been a newsy morning<\/a> for an all-consuming giant media deal as <a href=\"https:\/\/deadline.com\/tag\/netflix\/\" id=\"auto-tag_netflix\" data-tag=\"netflix\" rel=\"nofollow noopener\" target=\"_blank\">Netflix<\/a> agreed to let <a href=\"https:\/\/deadline.com\/tag\/warner-bros-discovery\/\" id=\"auto-tag_warner-bros-discovery\" data-tag=\"warner-bros-discovery\" rel=\"nofollow noopener\" target=\"_blank\">Warner Bros. Discovery<\/a> engage in a week of conversation with <a href=\"https:\/\/deadline.com\/tag\/paramount\/\" id=\"auto-tag_paramount\" data-tag=\"paramount\" rel=\"nofollow noopener\" target=\"_blank\">Paramount<\/a>. Will that engaging result in a formal, feasible, best-and-final rival offer for <a href=\"https:\/\/deadline.com\/tag\/wbd\/\" id=\"auto-tag_wbd\" data-tag=\"wbd\" rel=\"nofollow noopener\" target=\"_blank\">WBD<\/a> by David Ellison\u2019s company?<\/p>\n<p class=\"paragraph larva \/\/ lrv-u-margin-lr-auto     \">\n\tThe giant streamer hinted it does not believe so but does hope the talks will allow everyone to move on, saying it granted the \u201cnarrow seven-day waiver \u2026 to fully and finally resolve this matter.\u201d<\/p>\n<p class=\"paragraph larva \/\/ lrv-u-margin-lr-auto     \">\n\tA Warner statement and letter Tuesday morning seemed dubious about Par\u2019s chances. Even as WBD announced the new talks, the David Zaslav-led company again recommended in favor of the Netflix transaction and set a March 20 meeting for shareholders to vote on it.<\/p>\n<p class=\"paragraph larva \/\/ lrv-u-margin-lr-auto     \">\n\tWarner acknowledged that Paramount\u2019s last amended offer in particular addressed some of its concerns but implied that important assurances remain squishy. It wants all contingencies \u2014 from final price to financing to covenants \u2014 laid out clearly in a formal transaction document, not dispersed in press releases, letters and non-binding tender offers.<\/p>\n<p class=\"paragraph larva \/\/ lrv-u-margin-lr-auto     \">\n\tThat includes Paramount\u2019s apparent intent to raise its offer from $30 a share in cash to $31 or higher. According to WBD, a representative of a Paramount banker relayed to a WBD board member \u2014 verbally, not in writing \u2014 that the Ellisons were willing to top the $30 if Warner agreed to engage, one example of something very key to nail down.<\/p>\n<p class=\"paragraph larva \/\/ lrv-u-margin-lr-auto     \">\n\tParamount has yet to describe any of its offers as \u201cbest and final,\u201d which is what Warner says it requires to move forward.<\/p>\n<p class=\"paragraph larva \/\/ lrv-u-margin-lr-auto     \">\n\tNetflix has matching rights.<\/p>\n<p class=\"paragraph larva \/\/ lrv-u-margin-lr-auto     \">\n\tRELATED: <a href=\"https:\/\/deadline.com\/2026\/02\/netflix-warner-bros-maga-1236702805\/\" rel=\"nofollow noopener\" target=\"_blank\">Project Netflix: MAGA\u2019s Plan To Sandbag Warner Bros Deal; Streamer Called \u201cBiggest Political &amp; Ideology Messaging Machine In Human History\u201d<\/a><\/p>\n<p class=\"paragraph larva \/\/ lrv-u-margin-lr-auto     \">\n\tParamount has insisted that it absolutely has met every one of Warner\u2019s requests and assuredly would disagree with any other characterization. It has slammed WBD in the past for stalling and for refusing to engage. The company has not responded to a request for comment.<\/p>\n<p class=\"paragraph larva \/\/ lrv-u-margin-lr-auto     \">\n\tParamount is offering to buy all of WBD. Netflix is taking the Warner Bros. Studios and streaming assets, with Warner spinning off linear TV to current stockholders through shares in a new stand-alone company called Discovery Global.<\/p>\n<p class=\"paragraph larva \/\/ lrv-u-margin-lr-auto     \">\n\tIn a proxy filing with the SEC today, WBD set a virtual shareholders meeting for 8 am ET on March 20 for WBD stockholders of record as of 5 pm ET on February 4 eligible to vote on the Netflix deal (and on executive compensation related to the transaction, though that vote is non-binding).<\/p>\n<p class=\"paragraph larva \/\/ lrv-u-margin-lr-auto     \">\n\tWBD stockholder approval is not required to complete the Discovery Global spinoff, which Warner anticipates completing in the next five to eight months. Netflix and WBD currently expect their transaction will be completed in 12 to 18 months from December 4, 2025 \u2014 the day the deal was signed. <a href=\"https:\/\/deadline.com\/2025\/12\/netflix-warner-bros-discovery-deal-official-1236637290\/\" data-type=\"link\" data-id=\"https:\/\/deadline.com\/2025\/12\/netflix-warner-bros-discovery-deal-official-1236637290\/\" rel=\"nofollow noopener\" target=\"_blank\">It was announced December 5.<\/a><\/p>\n<p class=\"paragraph larva \/\/ lrv-u-margin-lr-auto     \">\n\tRELATED: <a href=\"https:\/\/deadline.com\/2025\/12\/warner-bros-discovery-paramount-netflix-merger-2-1236651149\/\" rel=\"nofollow noopener\" target=\"_blank\">WBD Calls Out \u201cPressure Tactic\u201d \u2013 How Paramount\u2019s Hardball Legal Letter Backfired On Eve Of Final Bids<\/a><\/p>\n<p class=\"paragraph larva \/\/ lrv-u-margin-lr-auto     \">\n\tWBD and Netflix filed merger documents with the DOJ on December 17, starting the clock. The DOJ has 30 days to do nothing, sue to block the deal or ask for more details. It chose the latter, as is typical. Both WBD and Netflix received second requests for information on January 16. That extends the waiting period until 11:59 pm ET 30 calendar days after both parties have \u201ccertified substantial compliance with the requests.\u201d The timing on that is not clear.<\/p>\n<p class=\"paragraph larva \/\/ lrv-u-margin-lr-auto     \">\n\tMeanwhile, the FTC or any state attorneys general could sue to block the deal, seek divestiture of assets or other \u201cconduct relief\u201d including requiring the parties to license or hold separate assets, or terminate existing relationships and contractual rights, WBD said.<\/p>\n<p class=\"paragraph larva \/\/ lrv-u-margin-lr-auto     \">\n\tOutside the U.S., the deal requires pre-closing filings to around 20 or more regulatory authorities and to some 10 or more foreign investment control authorities across South America, Asia and Europe including the European Union and the European Commission. On January 27, Netflix and WBD secured clearance for the deal from the foreign investment authorities in Germany (as did Paramount).<\/p>\n<p class=\"paragraph larva \/\/ lrv-u-margin-lr-auto     \">\n\tDiscovery Global Center of the Storm<\/p>\n<p class=\"paragraph larva \/\/ lrv-u-margin-lr-auto     \">\n\tThe WBD proxy has been awaited for clues as to how it will allocation its hefty debt between Discovery Global and the studio and streaming business. Paramount has noted and WBD acknowledged that the amounts could change the cash consideration Netflix would pay. The more debt layered on the businesses it\u2019s buying, the less it will fork out to WBD shareholders.<\/p>\n<p class=\"paragraph larva \/\/ lrv-u-margin-lr-auto     \">\n\tRELATED: <a href=\"https:\/\/deadline.com\/2026\/01\/netflix-warner-deal-uk-lawmakers-demand-antitrust-probe-1236698366\/\" rel=\"nofollow noopener\" target=\"_blank\">Netflix-Warner Deal: Top UK Lawmakers Demand Antitrust Investigation, Warning Takeover Poses \u201cStark\u201d Danger To Cinemas<\/a><\/p>\n<p class=\"paragraph larva \/\/ lrv-u-margin-lr-auto     \">\n\tWBD said Tuesday that net debt reduction, if any, at Discovery Global will be between $0 and $2 billion, resulting in a merger consideration of between $27.75 and $26.98, \u201cbased on information, estimates and assumptions as of the date of the accompanying proxy statement.\u201d<\/p>\n<p class=\"paragraph larva \/\/ lrv-u-margin-lr-auto     \">\n\t\u201cIllustratively, in a hypothetical scenario in which no debt is allocated to Discovery Global \u2013 which is highly unlikely to occur,\u201d it said, \u201cthe Merger Agreement technically permits a maximum net debt reduction at Discovery Global that would result in a minimum Merger Consideration of $21.23.\u201d<\/p>\n<p class=\"paragraph larva \/\/ lrv-u-margin-lr-auto     \">\n\tThat is something Paramount is likely to grab onto as it reinforces their assertions that WBD shareholders do not have clarity on the ultimate price.<\/p>\n<p class=\"paragraph larva \/\/ lrv-u-margin-lr-auto     \">\n\tThe difference, according to WBD, lies in the value of Discovery Global common stock that WBD stockholders will receive in the separation transaction. \u201cAny net debt reduction at Discovery Global is expected to result in a corresponding increase in the equity value of Discovery Global, which value will be distributed to New WBD stockholders in the form of Discovery Global common stock.\u201d<\/p>\n<p class=\"paragraph larva \/\/ lrv-u-margin-lr-auto     \">\n\tWBD\u2019s board said that analysis by its financial advisers indicated an \u201capproximate implied equity value reference range\u201d for Discovery Global of $1.33 to $3.24 per share, and \u201ca selected public companies sum-of-the-parts analysis indicating an approximate implied equity value reference range for Discovery Global\u201d of $2.41 to $3.77 per share.<\/p>\n<p class=\"paragraph larva \/\/ lrv-u-margin-lr-auto     \">\n\tThe board also noted Discovery Global could be worth $4.63 to $6.86 per share in a takeover.<\/p>\n<p class=\"paragraph larva \/\/ lrv-u-margin-lr-auto     \">\n\tIt says that the numbers \u201cimply superior value to WBD stockholders in the Netflix deal and split compared with the latest PSKY tender offer.\u201d<\/p>\n<p class=\"paragraph larva \/\/ lrv-u-margin-lr-auto     \">\n\tPSKY has strenuously disagreed, putting the value of Discovery Global at much lower.<\/p>\n","protected":false},"excerpt":{"rendered":"It\u2019s been a newsy morning for an all-consuming giant media deal as Netflix agreed to let Warner Bros.&hellip;\n","protected":false},"author":2,"featured_media":288622,"comment_status":"","ping_status":"","sticky":false,"template":"","format":"standard","meta":{"footnotes":""},"categories":[29],"tags":[156,1094,111,139,69,421,437,3204,75382,160365],"class_list":{"0":"post-288621","1":"post","2":"type-post","3":"status-publish","4":"format-standard","5":"has-post-thumbnail","7":"category-tv","8":"tag-entertainment","9":"tag-netflix","10":"tag-new-zealand","11":"tag-newzealand","12":"tag-nz","13":"tag-paramount","14":"tag-tv","15":"tag-warner-bros-discovery","16":"tag-wbd","17":"tag-wbd-netflix"},"_links":{"self":[{"href":"https:\/\/www.newsbeep.com\/nz\/wp-json\/wp\/v2\/posts\/288621","targetHints":{"allow":["GET"]}}],"collection":[{"href":"https:\/\/www.newsbeep.com\/nz\/wp-json\/wp\/v2\/posts"}],"about":[{"href":"https:\/\/www.newsbeep.com\/nz\/wp-json\/wp\/v2\/types\/post"}],"author":[{"embeddable":true,"href":"https:\/\/www.newsbeep.com\/nz\/wp-json\/wp\/v2\/users\/2"}],"replies":[{"embeddable":true,"href":"https:\/\/www.newsbeep.com\/nz\/wp-json\/wp\/v2\/comments?post=288621"}],"version-history":[{"count":0,"href":"https:\/\/www.newsbeep.com\/nz\/wp-json\/wp\/v2\/posts\/288621\/revisions"}],"wp:featuredmedia":[{"embeddable":true,"href":"https:\/\/www.newsbeep.com\/nz\/wp-json\/wp\/v2\/media\/288622"}],"wp:attachment":[{"href":"https:\/\/www.newsbeep.com\/nz\/wp-json\/wp\/v2\/media?parent=288621"}],"wp:term":[{"taxonomy":"category","embeddable":true,"href":"https:\/\/www.newsbeep.com\/nz\/wp-json\/wp\/v2\/categories?post=288621"},{"taxonomy":"post_tag","embeddable":true,"href":"https:\/\/www.newsbeep.com\/nz\/wp-json\/wp\/v2\/tags?post=288621"}],"curies":[{"name":"wp","href":"https:\/\/api.w.org\/{rel}","templated":true}]}}
