{"id":249226,"date":"2025-11-07T11:49:08","date_gmt":"2025-11-07T11:49:08","guid":{"rendered":"https:\/\/www.newsbeep.com\/uk\/249226\/"},"modified":"2025-11-07T11:49:08","modified_gmt":"2025-11-07T11:49:08","slug":"sky-in-talks-to-buy-itv-streaming-and-network-business-for-1-6bn-broadcast","status":"publish","type":"post","link":"https:\/\/www.newsbeep.com\/uk\/249226\/","title":{"rendered":"Sky in talks to buy ITV streaming and network business for \u00a31.6bn | Broadcast"},"content":{"rendered":"<p>Britain\u2019s traditional broadcasting landscape could be set for its biggest upheaval in decades after it emerged that <a class=\"intextlink\" href=\"https:\/\/www.broadcastnow.co.uk\/sky\/1143.subject\" rel=\"intextlink_3 nofollow noopener\" target=\"_blank\">Sky<\/a> wants to buy <a class=\"intextlink\" href=\"https:\/\/www.broadcastnow.co.uk\/itv\/1091.subject\" rel=\"intextlink_0 nofollow noopener\" target=\"_blank\">ITV<\/a>\u2019s streaming and network business.<\/p>\n<p>The PSB confirmed takeover talks with the satellite giant this morning via a stock exchange statement.<\/p>\n<p>If the deal were to go through the merged company would own some major and complementary UK assets: Sky\u2019s significant pay-TV business, including the might of <a class=\"intextlink\" href=\"https:\/\/www.broadcastnow.co.uk\/sky\/1143.subject\" rel=\"intextlink_2 nofollow noopener\" target=\"_blank\">Sky Sports<\/a>, and its Now streaming service; as well ITV\u2019s flagship free-to-air channel and the rapidly growing ITVX platform, which is on track to generate \u00a3750m annually by 2026.<\/p>\n<p><a class=\"intextlink\" href=\"https:\/\/www.broadcastnow.co.uk\/indies\/itv-studios\" rel=\"intextlink_5 nofollow noopener\" target=\"_blank\">ITV Studios<\/a>, the \u00a32bn production and distribution giant, is not part of the proposed acquisition. Should the deal\u00a0proceed ITVS would remain owned by ITV as a listed entity, and would almost certainly attract suitors in its own right. The likes of All3Media-owner RedBirdIMI and <a class=\"intextlink\" href=\"https:\/\/www.broadcastnow.co.uk\/indies\/banijay\" target=\"_blank\" rel=\"intextlink_6 nofollow noopener\">Banijay<\/a> Group having previously expressed interest in acquiring the business.<\/p>\n<p class=\"picture\"><img fetchpriority=\"high\" decoding=\"async\" alt=\"The Day of The Jackal\" src=\"https:\/\/www.newsbeep.com\/uk\/wp-content\/uploads\/2025\/11\/1464189_thedayofthejackal_773537.jpg\"  loading=\"eager\" class=\"lazyloaded\" width=\"4500\" height=\"3002\"\/><\/p>\n<p>ITV\u2019s statement this morning (7 November) acknowledged it is in \u201cpreliminary discussions regarding a possible sale of its M&amp;E business to Sky for an enterprise value of \u00a31.6bn\u201d.<\/p>\n<p>The future of ITV has been a source of speculation for some time. There has been a strong sense within the company that its share price significantly undervalued the business given its external annual revenues of almost \u00a33.5bn and its adjusted EBITDA of \u00a3542m.<\/p>\n<p>ITV\u2019s group market capitalisation is around \u00a32.7bn, yet the ITV Studios business alone would be worth circa \u00a33.5bn if the same multiples were applied to it as RedBird paid for All3. Given that discrepancy, Sky\u2019s \u00a31.6bn approach could look attractive to ITV\u2019s shareholders.<\/p>\n<p>The approach for ITV is thought to have come direct from Sky but is ultimately being driven by the latter\u2019s parent company, Comcast.<\/p>\n<p>The path for its approach became clearer late last month when ITV\u2019s biggest shareholder, cable business Liberty Global, halved its stake in the PSB, reducing it to circa 5% .<\/p>\n<p>There could be regulatory hurdles to a deal though: Sky and ITV run separate two of the UK\u2019s three TV ad sales houses and their merger would dwarf their only other rival, <a class=\"intextlink\" href=\"https:\/\/www.broadcastnow.co.uk\/channel-4\/1043.subject\" rel=\"intextlink_1 nofollow noopener\" target=\"_blank\">Channel 4<\/a>. However, the relative value of the Google and Meta advertising businesses in the UK far exceed that of a combined Sky and ITV entity, by as much as nine times based on Advertising Association figures.<\/p>\n<p>Were ITV\u2019s streaming and broadcasting businesses to be separated from ITV Studios it is likely that both elements would want to secure long-term deals for the latter\u2019s most important internal programming assets such as the soaps, daytime programming and flagship shows such as I\u2019m a Celebrity and Love Island.<\/p>\n<p>If Sky acquired ITV\u2019s broadcasting assets it would assume all the obligations that come with the latter\u2019s PSB licence around the provision of news (national and local), originations during peaktime and working with independent producers. ITV renewed its PSB licence for 10 years in 2024 and has a ten-year contract with ITN for the provision of news output.<\/p>\n<p>Comcast at a a glance: what brands could ITV sit alongside?<\/p>\n<p>Alongside Sky\u2019s UK, Irish and Italian operations (the German business was sold to RTL in June for\u00a0\u20ac150m), Comcast owns US internet giant Xfinity and the NBC Universal media empire.<\/p>\n<p>The latter includes the NBC network and vast film assets such as Universal Pictures and DreamWorks Animation. Peacock is Comcast\u2019s streaming service and its Universal Studios Group its TV production giant.
