Merger Cleared by UK Regulator"},"content":{"rendered":"<p>Regulators in the United Kingdom have cleared the pending $110 billion Paramount-Warner Bros. Discovery merger. <\/p>\n<p>After <a href=\"https:\/\/www.thewrap.com\/industry-news\/deals-ma\/paramount-warner-bros-discovery-uk-competition-and-markets-authority-phase-1-investigation-launch\/\" rel=\"nofollow noopener\" target=\"_blank\">formally launching its Phase 1 investigation<\/a> into whether the deal would \u201csubstantially lessen\u201d competition in film distribution, TV content production and the supply of children\u2019s channels and the supply of streaming services, the Competition and Markets Authority determined that Paramount would \u201ccontinue to face sufficient competition in the various areas it operates in\u201d after the merger. <\/p>\n<p>While the combined company would become the U.K.\u2019s largest distributor, the CMA noted that it could continue to face competition from Universal, Disney, Sony and a range of other small studios. It also said Paramount-WBD would be \u201csufficiently constrained\u201d in the supply of linear children\u2019s TV channels, citing alternatives such as streaming services and free-to-air channels. Additionally, it found that Netflix, Apple, Disney and Amazon\u2019s Prime Video, as well as BBC iPlayer and ITVX would provide sufficient competition to the combined entity on the streaming front. <\/p>\n<p>In addition to the CMA, U.K. Secretary of Culture, Media and Sport Lisa Nandy <a href=\"https:\/\/www.gov.uk\/government\/publications\/public-statement-proposed-acquisition-of-warner-bros-discovery-by-paramount-decision-of-no-intervention-on-public-interest-intervention-or-foreign-sta\" rel=\"nofollow noopener\" target=\"_blank\">decided not to intervene<\/a> after reaching a \u201cdeed of covenant\u201d with Paramount. This agreement includes a commitment not to combine linear channels with its streaming services, to maintain the editorial independence of its news services and children\u2019s networks and to provide more funding to Channel 5 to support high-quality news, original children\u2019s programming and drama.\u00a0<\/p>\n<p>The commitments in the deed take effect upon completion of the transaction and remain in effect for five years. Commitments relating to Channel 5 will remain in effect until December 31, 2034, when Channel 5\u2019s current public service broadcasting license ends. Parliament will be updated on the commitments from Paramount when it formally returns from its summer recess in September.<\/p>\n<p>\t\t<a class=\"the-wrap-read-more__image\" href=\"https:\/\/www.thewrap.com\/industry-news\/business\/warner-bros-discovery-earnings-q2-2026\/\" rel=\"nofollow noopener\" target=\"_blank\"><br \/>\n\t\t\t\t\t\t\t<img loading=\"lazy\" decoding=\"async\" width=\"300\" height=\"169\" src=\"https:\/\/www.newsbeep.com\/uk\/wp-content\/uploads\/2026\/08\/033126-Warner-Earnings-Art-1.gif\" class=\"attachment-medium size-medium\" alt=\"\" data-portal-copyright=\"TheWrap\" data-has-syndication-rights=\"1\"\/>\t\t\t\t\t<\/a><\/p>\n<p>Following the CMA\u2019s approval, the merger has been cleared by regulators and governments representing 66 jurisdictions. The deal already received <a href=\"https:\/\/www.thewrap.com\/industry-news\/business\/paramount-warner-bros-merger-cleared-department-of-justice\/\" rel=\"nofollow noopener\" target=\"_blank\">approval from the U.S. Department of Justice<\/a>\u00a0and\u00a0<a href=\"https:\/\/www.thewrap.com\/industry-news\/deals-ma\/warner-bros-shareholders-approve-paramount-merger\/\" rel=\"nofollow noopener\" target=\"_blank\">Warner Bros. shareholders<\/a>. The <a href=\"https:\/\/www.thewrap.com\/industry-news\/business\/paramount-warner-bros-merger-cleared-european-commission\/\" rel=\"nofollow noopener\" target=\"_blank\">European Commission<\/a> also cleared the deal with conditions, including Paramount\u2019s exit from United International Pictures.<\/p>\n<p>Other countries where the deal has received clearance or where relevant waiting periods have expired include Australia, Austria, Brazil, Canada, China, Kuwait, Saudi Arabia, Serbia, South Africa, Ukraine, Montenegro, New Zealand, and North Macedonia. Foreign direct investment authorities in Spain, Germany, Slovenia, Belgium, Czechia, Italy, France and Romania have also signed off.<\/p>\n<p>The U.S. Federal Communications Commission is also still reviewing the foreign investment in the deal, though a specific timeline for completion has not been publicly announced.<\/p>\n<p>\u201cThese clearances recognize that the combination of Paramount and WBD will enhance consumer choice and enable a creative-first company to invest in more projects and bring stories to audiences worldwide,\u201d Paramount said in a statement. \u201cIt will create a scaled media and entertainment company capable of competing with the tech companies that have come to dominate the industry, strengthening the media ecosystem and creating more opportunities for creatives both in front of and behind the camera.\u201d<\/p>\n<p>\t\t<a class=\"the-wrap-read-more__image\" href=\"https:\/\/www.thewrap.com\/industry-news\/business\/paramount-warner-bros-merger-cleared-european-commission\/\" rel=\"nofollow noopener\" target=\"_blank\"><br \/>\n\t\t\t\t\t\t\t<img loading=\"lazy\" decoding=\"async\" width=\"300\" height=\"169\" src=\"https:\/\/www.newsbeep.com\/uk\/wp-content\/uploads\/2026\/08\/Robert-OkineGetty-Images-2025-12-08T111301.644.jpg\" class=\"attachment-medium size-medium\" alt=\"Warner Bros. logo displayed on the water tower at Warner Bros. (Credit: Mario Tama\/Getty Images)\"   data-portal-copyright=\"TheWrap\" data-has-syndication-rights=\"1\"\/>\t\t\t\t\t<\/a><\/p>\n<p>Despite the clearances, a <a href=\"https:\/\/www.thewrap.com\/industry-news\/business\/paramount-warner-bros-merger-temporary-restraining-order-ruling\/\" rel=\"nofollow noopener\" target=\"_blank\">group of 12 state attorneys general also secured a temporary restraining order<\/a> against the merger. A 12-day trial has been scheduled to start March 2, 2027, which will put Paramount on the hook for over $1 billion in ticking fees. The 25 cent per share fee, which takes effect starting Oct. 1, translates to to a payout of roughly $650 million per quarter, or $7 million per day, until closing. <\/p>\n<p>Paramount argued that the CMA\u2019s conclusions reinforce that the merger does not raise antitrust concerns and slammed the state AG lawsuit\u2019s \u201cmisguided and gerrymandered market definitions.\u201d<\/p>\n<p>In addition to the state AGs and WGA, a\u00a0<a href=\"https:\/\/www.thewrap.com\/industry-news\/business\/ellison-paramount-investors-lawsuit-trump-cnn\/\" rel=\"nofollow noopener\" target=\"_blank\">Paramount shareholder<\/a>\u00a0and a\u00a0<a href=\"https:\/\/www.thewrap.com\/industry-news\/public-policy-legal\/paramount-warner-bros-merger-consumer-lawsuit-preliminary-injunction-denied\/\" rel=\"nofollow noopener\" target=\"_blank\">group of consumers<\/a>\u00a0filed separate lawsuits to block the merger, though the latter was dismissed by a judge. <\/p>\n<p>Paramount said it would push the closing of the merger back until five days after the outcome of a trial, or June 1, 2027, whichever comes earliest. In the event that the deal does not close at all due to regulatory matters, Paramount will pay WBD a $7 billion termination fee.<\/p>\n<p>\t\t<a class=\"the-wrap-read-more__image\" href=\"https:\/\/www.thewrap.com\/industry-news\/deals-ma\/paramount-warner-bros-merger-antitrust-trial-march-2027\/\" rel=\"nofollow noopener\" target=\"_blank\"><br \/>\n\t\t\t\t\t\t\t<img loading=\"lazy\" decoding=\"async\" width=\"300\" height=\"169\" src=\"https:\/\/www.newsbeep.com\/uk\/wp-content\/uploads\/2026\/08\/071325-WB-Paramount-v4.jpg\" class=\"attachment-medium size-medium\" alt=\"California AG Rob Bonta is squaring off with Paramount CEO David Ellison against his merger with Warner Bros.
