Ageas<\/a> UK and esure have appointed two independent non-executive directors (NEDs) to their boards to oversee the next stage of integration between the two businesses.<\/p>\n

Jane Mustoe (pictured, left), a senior technology director at Tesco, and James Turner (pictured, right), a former group chief finance officer at Prudential, join the boards chaired by Alison Platt.<\/p>\n

A technology and finance pairing<\/p>\n

Mustoe sits on Tesco\u2019s UK leadership team as its technology member, responsible for technology across commercial, supply chain and fulfilment, and its innovation lab. She is leading the modernisation of Tesco\u2019s core payroll, finance and supply chain platforms, and the introduction of AI into customer experiences. She is also a board member of dunnhumby. Before Tesco, she spent more than 20 years in financial services at RBS and Barclays.<\/p>\n

Turner has more than 30 years\u2019 experience in financial services, including board-level roles across finance, risk, compliance and audit. Most recently he was strategic finance director at Standard Life, responsible for strategy, M&A, model change, treasury, tax and capital management<\/a>. At Prudential, he served as group chief finance officer and, before that, group chief risk and compliance officer.<\/p>\n

Platt said the pair\u2019s independent challenge would help the board oversee the next phase of integration, combining the strengths of both businesses while maintaining strong governance.<\/p>\n

\u201cJane\u2019s experience leading major technology modernisation and innovation programmes, together with James\u2019 extensive Board, finance, risk and regulatory experience, will provide important perspectives as we continue to build an even stronger, more integrated business for the future,\u201d said Platt.<\/p>\n

Integration still under way<\/p>\n

Ageas completed its \u00a31.295 billion acquisition of esure<\/a> from Bain Capital in September 2025, a deal that put it among the UK\u2019s top three personal lines insurers. The combined business serves more than 7 million customers, and Ageas expects annual cost savings of more than \u00a3100 million. Integration is due to be completed during its Elevate27 strategic cycle.<\/p>\n

At completion, Ageas said esure would initially operate as a separate business within Ageas UK. It is also integrating its Saga partnership<\/a>, transferring Saga<\/a>\u2019s motor and home business to Ageas.<\/p>\n

What it means for brokers<\/p>\n

The appointments say a lot about where the integration challenge now lies. A technology NED with a record in platform modernisation points to the systems work involved in combining esure\u2019s digital direct model with Ageas\u2019s broker and partnership operations. A finance and risk NED with Prudential board experience adds weight on capital, model change and regulatory oversight.<\/p>\n

For brokers who place personal lines business with Ageas, the key question is how the combined business balances channels. Ageas has historically relied heavily on brokers and partnerships, while esure is a direct and price comparison player.
