Paramount has been discussing a $1.5 billion investment in California film and TV production as part of settlement talks with state attorneys general seeking to block its $81 billion acquisition of Warner Bros. Discovery, according to the Wall Street Journal<\/a>. <\/p>\n

Paramount executives and the coalition of states held weekend negotiations aimed at hammering out a possible agreement. Other potential concessions under discussion include a commitment to retain both studio lots and remain in California, the sale of some cable channels, and the creation of an editorial independence board for CNN. Divestiture of Paramount’s Miramax stake has also been floated as a possible penalty should the company fall short of its previously stated goal of releasing 30 films annually once the merger is complete, the Journal reported. <\/p>\n

California Attorney General Rob Bonta has pushed aggressively for a resolution in recent days, but the effort has laid bare fractures within the 12-state coalition, according to CNN<\/a>. New York Attorney General Letitia James has pushed back on the proposed terms and is demanding stronger protections for workers. Connecticut Attorney General William Tong and at least two other states also have reservations, with Tong described as “fighting to preserve the independence of CNN and CBS News.” <\/p>\n

No final agreement has been reached, and the terms remain subject to change, according to the Journal. If the parties fail to settle, the antitrust case is scheduled to go to trial in California in March 2027 \u2014 a delay that could threaten the deal entirely, CNN reported. <\/p>\n

The talks have drawn protests from merger opponents. Roughly two dozen people showed up outside a state office building in downtown Oakland on Sunday to demonstrate against a potential settlement, carrying signs that read “Bonta: Don’t You Dare.” The Block the Merger Coalition, a group bringing together Hollywood unions and advocacy organizations, said it was staging demonstrations this week at Bonta’s Los Angeles office, James’ New York office, and the Writers Guild of America West’s headquarters. “An agreement based only on unenforceable concessions is a win only for David Ellison,” the coalition said in a statement. <\/p>\n

The settlement push comes under significant financial pressure. Paramount faces a ticking fee of roughly $7 million per day owed to Warner Bros. Discovery shareholders beginning October 1 for every day the transaction remains unclosed, and a motion seeking a $1.88 billion bond<\/a> from the plaintiff states was filed last month. A separate trial date of March 2, 2027<\/a> was set by U.S. District Judge Araceli Mart\u00ednez-Olgu\u00edn after Paramount pushed unsuccessfully for a November 2026 start. California Gov.
