MIAMI (September 25, 2026) — Brightline Florida’s parent entities have reached a Restructuring Support Agreement (RSA) with key financial stakeholders to secure $490 million in new long-term capital and significantly reduce the company’s debt burden. To execute the deal, certain non-operating holding entities will enter prearranged Chapter 11 proceedings, while passenger train service between Miami and Orlando will continue running on normal schedules without disruption. This includes the Boca Raton station which has seen increased traffic recently as well as more trains for the busy South Florida corridor with stops in Fort Lauderdale and Aventura en route to Miami Central station.
The restructuring agreement is backed by major creditors, including Assured Guaranty, Inc. and an ad hoc group of mutual fund bondholders. Under the terms of the deal, supporting stakeholders are committing $490 million in fresh long-term capital, comprising $140 million in additional senior debt and $350 million in junior debt.
Crucially for travelers, Brightline Trains Florida LLC—the operating entity responsible for running daily passenger service—is excluded from the Chapter 11 filings and will operate as normal under its current management team. Non-operating entities handling expansion and commuter projects, including Brightline Florida Holdings LLC and AAF Operations Holdings LLC, are also excluded from the bankruptcy filings. This is similar to previous bankruptcy filings in the travel industry.
Key Details of the Financial Restructuring
The agreement maintains existing bond structures while granting the company long-term financial stability:
Bond Obligations Intact: The $2.2 billion Brightline Trains Florida LLC Series 2024 Tax-Exempt Bonds and the accompanying Assured Guaranty insurance policy remain in full effect.
No Principal Reductions: Additional debt packages totaling over $2.1 billion—including the $985 million Series 2025B Bonds, $925 million AAF Operations Series 2024 Bonds, and $285.7 million Series 2024A Bonds—will stay outstanding without any reduction in principal amounts.
Legal Implementation: Certain non-operating parent entities will file prearranged Chapter 11 petitions in the U.S. Bankruptcy Court for the District of New Jersey to finalize the transaction, subject to court approval.
Strong Momentum and Continued Expansion
The financial reorganization comes amid steady commercial growth for the private high-speed rail network. Through August 2026, Brightline reported a 14% increase in ridership and a 17% gain in total revenues compared to the same period in 2025.
“Brightline is a critical part of Florida’s transportation network that has changed the way people move around the state. Today’s agreement brings $490 million in new long-term capital to Brightline from the stakeholders who know this business, and it comes at a time of real momentum,” said Patrick Goddard, Chief Executive Officer of Brightline Florida. “This transaction will be a catalyst for further growth in ridership and revenue.”
Company executives confirmed that long-term infrastructure and route expansions will move forward as planned. Brightline continues to pursue:
A new station stop in Cocoa, Florida along the existing space coast corridor.
Commuter rail partnerships across Miami-Dade, Broward, and Palm Beach counties.
Phase-two rail extension connecting the Orlando International Airport station west to Tampa. This could include a station in Lakeland as well as one near Disney.
“This is a financial restructuring that is not expected to impact operations,” added Nicolas Petrovic, Chief Executive Officer of Brightline Train Development LLC. “It will give Brightline the balance sheet to match the growth we’re already seeing across the business.”
