BERN TWP., Pa. – The Berks County-based battery maker EnerSys is expanding its U.S. manufacturing base with a $320 million purchase.
EnerSys will acquire Ultralife (NASDAQ:ULBI), a maker of batteries, battery systems, and related accessories for military communications and other specialized applications.
Ultralife is headquartered in Newark, New York, with more than 700 employees across sites in the U.S., Canada, U.K., and China.
The company serves government, defense, and commercial customers globally, and, according to a news release, generated $191 million in revenue in fiscal 2025.
“This acquisition is a compelling strategic fit for EnerSys and directly advances our strategy to build a broader, more differentiated defense power platform,” said Shawn O’Connell, President and CEO of EnerSys, in the release. “Building on the success of our recent acquisitions, Ultralife expands our portfolio of advanced, reliable, high-performance power solutions. Together, we will be better positioned to support the U.S. Department of War (DoW) and allied forces with leading-edge, cost-effective technologies for the increasingly electrified battlefield of the future.”
EnerSys, through a subsidiary, will provide a tender offer to acquire all outstanding shares of Ultralife common stock at a price of $16.00 per share, a 166% premium to Ultralife’s closing share price on Oct. 26.
The acquisition has been unanimously approved by the Boards of Directors of both companies, although it is still subject to customary closing conditions and regulatory approval.
EnerSys is headquartered on Route 183 in Bern Township. The company bills itself as the largest industrial battery manufacturer in the world, operating manufacturing and assembly facilities worldwide for customers in more than 100 countries.
It operates a distribution facility in Upper Macungie Township, Lehigh County, near Allentown.
Shares of EnerSys stock (NYSE: ENS) were flat in early Wednesday trading. They were listed at $174.01, which is in the middle of their 52-week range. The company has a market capitalization of $6.28 billion.
