HOUSTON — A Shell USA Inc. subsidiary has reached a deal to sell Houston-based Jiffy Lube International Inc.

Greenwich, Connecticut-based private equity firm Monomoy Capital Partners will pay $1.3 billion to buy Jiffy Lube from Pennzoil Quaker State Co., which does business as SOPUS Products and comprises Shell’s U.S. lubricants business. The deal, which was announced on March 9, is expected to close in the second half of 2026.

Shell said it will retain its Pennzoil Quaker State, Rotella and other Shell lubricants brands, along with marketing, manufacturing and distribution of lubricants in the U.S. and Canada that serve consumer, commercial and industrial sectors. As part of the deal, Pennzoil Quaker State Co. entered into a long-term lubricants supply agreement with Monomoy.

Monomoy’s acquisition includes the Jiffy Lube International registered trademark and network of more than 2,000 franchisees and company-owned and -operated service centers across the U.S. and licensees in Canada. The PE firm is also acquiring Premium Velocity Auto LLC, which is the second-largest Jiffy Lube franchisee, with over 360 locations across 20 states.
