The debt is about Pepsi, not berries.<\/p>\n<p class=\"uiTextSmall f aic jcc\">Article continues below this ad<\/p>\n<p>The Rotary Club filed a federal lawsuit Thursday in federal court in San Antonio seeking a temporary restraining order to prevent its exclusion from the festival. The group holds five trademarks, including one for <a href=\"https:\/\/tsdr.uspto.gov\/documentviewer?caseId=sn75214784&amp;docId=ORC20070420140729&amp;linkId=18#docIndex=17&amp;page=1\" data-link=\"native\" class=\"\" rel=\"nofollow noopener\" target=\"_blank\">organizing and conducting a civic festival<\/a>. It accuses the Rotary Club of misappropriating the name on flyers, postings and emails.<\/p>\n<p><a href=\"https:\/\/www.gunn-lee.com\/rob-mcrae\" data-link=\"native\" class=\"\" rel=\"nofollow noopener\" target=\"_blank\">San Antonio lawyer Robert McRae<\/a>, who represents the Rotary Club,\u00a0dismissed the association\u2019s claims to the trademarks.<\/p>\n<p>\u201cThose registrations are invalid because they never had the right to register them,\u201d he said. \u201cSo they committed fraud on the trademark office.\u201d<\/p>\n<p class=\"uiTextSmall f aic jcc\">Article continues below this ad<\/p>\n<p><a href=\"https:\/\/www.fcbtxlaw.com\/attorneys\/melissa-casey\" data-link=\"native\" class=\"\" rel=\"nofollow noopener\" target=\"_blank\">Melissa Casey<\/a>, a San Antonio attorney representing the association, responded to a request for comment with\u00a0a written statement Sunday.<\/p>\n<p>The Rotary Club\u2019s lawsuit \u201cis a huge black eye on what has historically been a been a beloved and charitable event, benefiting over 40 non-profit civic, church and school organizations,\u201d the statement said, adding that the festival supports growers and injects millions of dollars into the\u00a0South Texas\u00a0economy.<\/p>\n<p>All of that is now \u201cjeopardized\u201d by costly legal fees that are sure to rise before the litigation is resolved, the statement said.<\/p>\n<p>\u201cEven more troubling is the possibility that the festival will be impacted by the TRO sought by the (club) and the undeserved negative publicity that the (club) is causing as (a) cloud over this otherwise cherished local fundraising event,\u201d it added.<\/p>\n<p class=\"uiTextSmall f aic jcc\">Article continues below this ad<\/p>\n<p>A hearing had been set for this morning in <a href=\"https:\/\/atascosacountycourtatlaw.org\/court-calendar\" data-link=\"native\" class=\"\" rel=\"nofollow noopener\" target=\"_blank\">Atasacosa County Court at Law<\/a> on the association\u2019s TRO application. But the hearing didn\u2019t go forward because the Rotary Club moved the association\u2019s lawsuit to federal court, where the club is aiming to have its TRO application heard Tuesday,\u00a0McRae said.<\/p>\n<p>Long history<\/p>\n<p>The Rotary Club takes credit for organizing the <a href=\"https:\/\/www.expressnews.com\/entertainment\/article\/5-things-to-know-about-the-upcoming-Poteet-17085734.php\" data-link=\"native\" class=\"\" rel=\"nofollow noopener\" target=\"_blank\">inaugural Poteet Strawberry Festival<\/a> in 1948 to honor World War II veterans and \u201cincentivize them to farm and engage in agriculture in the area,\u201d it lawsuit says.<\/p>\n<p>That first festival attracted 5,000 visitors from around South Texas. It now annually hosts about 125,000 attendees. The 79th annual festival is set for Friday through Sunday.<\/p>\n<p class=\"uiTextSmall f aic jcc\">Article continues below this ad<\/p>\n<p>The festival is held to promote Poteet\u2019s strawberry production. Other nonprofits assist in hosting the event, including the <a href=\"https:\/\/www.poteettx.org\/1110\/Poteet-Volunteer-Fire-Department\" data-link=\"native\" class=\"\" rel=\"nofollow noopener\" target=\"_blank\">Poteet Volunteer Fire Department,<\/a>\u00a0<a href=\"https:\/\/e-clubhouse.org\/sites\/poteet_tx\/\" data-link=\"native\" class=\"\" rel=\"nofollow noopener\" target=\"_blank\">Poteet Lions Club<\/a> and <a href=\"https:\/\/vfw6970.org\/di\/vfw\/v2\/default.asp\" data-link=\"native\" class=\"\" rel=\"nofollow noopener\" target=\"_blank\">Veterans of Foreign Wars Post 6970<\/a>. The fundraiser awards scholarships to local youth and donates to various community organizations.<\/p>\n<p class=\"MM_onlineOnly\" title=\"CCI Online Only\">TRADEMARK DISPUTES: <a href=\"https:\/\/www.expressnews.com\/business\/article\/george-gervin-iceman-caleb-williams-trademark-22142018.php\" data-link=\"native\" class=\"\" rel=\"nofollow noopener\" target=\"_blank\">George \u2018Iceman\u2019 Gervin aims to freeze out Bears quarterback Caleb Williams from claiming nickname<\/a><\/p>\n<p>The Rotary Club formed the\u00a0Poteet Strawberry Festival Association in 1980 to organize and run the festival, McRae said.<\/p>\n<p>Both the Rotary Club and the Poteet Strawberry Festival Association are known as\u00a0<a href=\"https:\/\/www.irs.gov\/charities-non-profits\/other-non-profits\/types-of-organizations-exempt-under-section-501c4\" data-link=\"native\" class=\"\" rel=\"nofollow noopener\" target=\"_blank\">501\u00a9(4) organizations<\/a>, or nonprofits that work to benefit their community.<\/p>\n<p class=\"uiTextSmall f aic jcc\">Article continues below this ad<\/p>\n<p>The association brought in about $2.5 million in 2023 and spent roughly the same amount on its programs, including the festival, while paying out about $100,000 in grants, according to its most recent publicly available tax filing. It doled out 35 scholarships totaling $51,150, while awarding grants of $25,000 to the Poteet fire department and $6,000 to the <a href=\"https:\/\/www.poteetisd.org\/\" data-link=\"native\" class=\"\" rel=\"nofollow noopener\" target=\"_blank\">Poteet Independent School District<\/a>.\u00a0\u00a0<\/p>\n<p>For 2023, the Rotary Club filed a brief IRS form used by nonprofits reporting less than $50,000 in annual revenue, rather than a more detailed filing.\u00a0<\/p>\n<p>Yet in its\u00a0lawsuit, the club says it \u201ctypically receives $75,000 to $90,000 from its participation in the\u00a0Poteet Strawberry Festival.\u201d<\/p>\n<p>Rift develops<\/p>\n<p>The conflict between the Rotary Club and the Poteet Strawberry Festival Association surfaced earlier this year.<\/p>\n<p class=\"uiTextSmall f aic jcc\">Article continues below this ad<\/p>\n<p><a href=\"https:\/\/poteetstrawberryfestival.com\/contact\/\" data-link=\"native\" class=\"\" rel=\"nofollow noopener\" target=\"_blank\">Chris\u00a0Lopez<\/a>, the association\u2019s president, in February fired off a five-page letter to his counterpart at the Rotary Club outlining a number of issues that could put an end to the group\u2019s involvement with the festival.<\/p>\n<p>In his missive, Lopez threatened potential legal action against the Rotary Club to recover an alleged $30,000 Pepsi debt. The club sells soft drinks during the festival to generate revenue. The association paid PepisCo for the beverages and now wants the club to reimburse it.\u00a0\u00a0<\/p>\n<p>\u201cWe remain willing to pay the invoice for the Pepsi issue, the beverage issue, if they will provide documentation,\u201d McRae, the Rotary Club\u2019s lawyer, said.<\/p>\n<p>Lopez also demanded the Rotary Club produce five years of tax filings and proof the nonprofit is in good standing with the IRS, the Texas Secretary of State\u2019s Office and the Texas Comptroller\u2019s Office.<\/p>\n<p class=\"uiTextSmall f aic jcc\">Article continues below this ad<\/p>\n<p>A club lawyer, <a href=\"https:\/\/www.lucindavickers.com\/home.html\" data-link=\"native\" class=\"\" rel=\"nofollow noopener\" target=\"_blank\">Lucinda Vickers<\/a> of Pleasanton, responded to Lopez three days later on Feb. 20. She vowed her client would sue the association if it blocked the Rotary Club from participating in this year\u2019s festival. She added that the association is not entitled to the club\u2019s tax records and documents related to its nonprofit status.<\/p>\n<p class=\"MM_onlineOnly\" title=\"CCI Online Only\">SA Inc.: <a href=\"https:\/\/www.expressnews.com\/newsletters\/sa-inc\/\" data-link=\"native\" class=\"\" rel=\"nofollow noopener\" target=\"_blank\">An insider\u2019s guide to business in San Antonio<\/a><\/p>\n<p>Nevertheless, the association recently learned that the Rotary Club\u2019s tax-exempt status was revoked for failing to pay taxes as required by law, according to the statement issued by Casey. Indeed, the IRS\u2019 website shows the revocation occurred Nov. 15, 2024. It also shows the brief IRS notice that the club filed relating to its 2023 taxes wasn\u2019t filed for tax years 2018, 2019, 2021 or 2022.<\/p>\n<p>The association cited the revocation of the club\u2019s tax-exempt status as another reason for cutting off the club\u2019s involvement in this weekend\u2019s festival.<\/p>\n<p class=\"uiTextSmall f aic jcc\">Article continues below this ad<\/p>\n<p>McRae, the club\u2019s lawyer, said the club has regained its tax-exempt status with the state and is in the process of doing the same with the IRS. It\u2019s awaiting IRA approval, he added.<\/p>\n<p>In the meantime, state corporate records show the Rotary Club on March 18 formed another nonprofit organization, the Poteet Rotary Club Inc.\u00a0\u2014 Charitable Activities, to provide scholarships, support local causes and help run an annual strawberry auction at the festival. It lacks valid tax-exempt status, according to the statement issued by Casey, the association\u2019s lawyer.<\/p>\n<p>The new Rotary Club organization also is a plaintiff in the lawsuit against the association, a fact that the association finds odd given it has never had any dealings with the newly formed group. It\u2019s unclear if the Rotary Club International has granted a charter to the new organization, the statement said.<\/p>\n<p>Ramifications<\/p>\n<p>The Poteet Strawberry Festival Association\u2019s move to exclude the Rotary Club from this week\u2019s festival already has had ramifications.<\/p>\n<p class=\"uiTextSmall f aic jcc\">Article continues below this ad<\/p>\n<p>The club couldn\u2019t participate in <a href=\"https:\/\/www.facebook.com\/pleasantonexpress\/posts\/-the-sift-is-back-get-ready-for-one-of-the-sweetest-traditions-in-south-texas-po\/1548341000628063\/\" data-link=\"native\" class=\"\" rel=\"nofollow noopener\" target=\"_blank\">the Strawberry\u00a0Sift<\/a>, held Saturday, McRae said. The sift determines which strawberries are deemed festival-worthy. During the festival, those strawberries are judged and then auctioned.<\/p>\n<p>In its TRO application filed Friday, the Rotary Club says the contract between it and the association regarding the festival expired\u00a0Dec. 31. The club submitted a new contract on Feb. 9 and Lopez, the association\u2019s president, stated at a board meeting that the contract would be extended until the end of this year, the application added. So the club says there\u2019s currently a valid contract by the association\u2019s \u201cown admission.\u201d<\/p>\n<p>There are no terms in the contract that give the association the right to exclude the club from the festival, the club says in the TRO application.<\/p>\n<p>The club wants a federal judge to issue a ruling allowing it to participate in this week\u2019s festival. A hearing on the request has not yet been scheduled as of early this morning.<\/p>\n<p class=\"uiTextSmall f aic jcc\">Article continues below this ad<\/p>\n<p>\u201cRight now, what we\u2019re really asking the court for is just to maintain the status quo for the festival and allow us to participate in the festival,\u201d McRae said.<\/p>\n<p>Trademarks<\/p>\n<p>After the disputes erupted, McRae said the club discovered that the association had applied to register the Poteet Strawberry Festival name with the U.S. Patent and Trademark Office in 1996. The agency issued the association five trademarks the following year, including for use on various merchandise, such as T-shirts, caps, pins and bumper stickers.<\/p>\n<p>The association\u2019s bylaws, created in 1980 and included as an exhibit in the club\u2019s lawsuit, say the registered name\u00a0Poteet Strawberry Festival is used with the club\u2019s permission.<\/p>\n<p class=\"uiTextSmall f aic jcc\">Article continues below this ad<\/p>\n<p>\u201cThere was never any assignment of Trademark rights\u201d to the association, the club says, adding that the \u201cregistrations are invalid as a matter of law.\u201d False ownership claims can result in the revocation of a trademark.<\/p>\n<p>The Rotary Club wants the federal court in San Antonio to declare those registrations invalid and rule that the club is the sole owner of the name.<\/p>\n<p>And if the Rotary Club prevails? It could go several different ways,\u00a0McRae answered.<\/p>\n<p class=\"uiTextSmall f aic jcc\">Article continues below this ad<\/p>\n<p>\u201cThe most obvious way is that (the association) would have to change their name, and we wouldn\u2019t be involved anymore,\u201d he said. He quickly added, \u201cThat\u2019s not what we desire.
