OpenAI<\/a>\u2019s\u00a0corporate restructuring could reportedly be pushed back to next year.<\/p>\n

At issue, according to a Wednesday (Aug. 27) Financial Times (FT)\u00a0report<\/a>, are the artificial intelligence (AI) startup\u2019s negotiations with\u00a0Microsoft<\/a>, which could complicate plans for a multi-billion dollar fundraising effort.<\/p>\n

As the report notes, OpenAI has been engaged in complex talks with Microsoft \u2014 its largest benefactor \u2014 to\u00a0rework a commercial contract<\/a>\u00a0between the companies that extends until 2030. A deal would let OpenAI complete its restructuring, allowing it to hold equity in the business and set the stage for an initial public offering.<\/p>\n

However, multiple sources with knowledge of the talks told the FT the two sides still can\u2019t agree on a few key issues, an impasse that could push negotiations past Dec. 31.<\/p>\n

That\u2019s a key date, as a failure to reach an agreement and complete the\u00a0restructuring<\/a>\u00a0before then would allow Japanese conglomerate SoftBank to withhold a $10 billion commitment to OpenAI and could hinder the company\u2019s efforts to raise more capital, the report said.<\/p>\n

Sources say there are multiple issues the companies need to resolve, such as Microsoft\u2019s access to OpenAI\u2019s application programming interface (API).<\/p>\n

Microsoft has exclusive rights to host OpenAI\u2019s models on its Azure cloud service, making it a key gatekeeper to the technology. However, sources say that OpenAI is lobbying for additional partnerships with Google and Amazon Web Services to increase its API revenues.<\/p>\n

The companies are also haggling over Microsoft\u2019s future access to OpenAI\u2019s intellectual property (IP), the sources said, as well as\u00a0the \u201cAGI clause<\/a>\u201d\u00a0in the companies\u2019 contract. This gives OpenAI the right to cut off Microsoft\u2019s IP access if and when the startup achieves\u00a0\u201cartificial general intelligence<\/a>\u201d\u00a0(AGI), which the companies define as \u201ca highly autonomous system that outperforms humans at most economically valuable work.\u201d<\/p>\n

The two companies issued a joint statement to the FT describing a \u201clong-term, productive partnership\u201d and optimism that the talks will allow them to continue to work together.<\/p>\n

PYMNTS spoke with legal experts earlier this year about the intricacies of OpenAI\u2019s restructuring, which will see the company\u2019s\u00a0nonprofit parent<\/a>\u00a0remain in place but change its capped-profit LLC subsidiary to a public benefit corporation (PBC). A PBC is a for-profit entity that agrees to spend some of its profits on a specific public benefit.<\/p>\n

\u201cThe\u00a0unique thing<\/a>\u00a0in the case of OpenAI is how they started with this mission to be a responsible, ethical AI-developing company,\u201d Angeli Patel, executive director at the Berkeley Center for Law and Business at the University of California at Berkeley, told PYMNTS.<\/p>\n
