{"id":137975,"date":"2025-09-06T21:49:08","date_gmt":"2025-09-06T21:49:08","guid":{"rendered":"https:\/\/www.newsbeep.com\/us\/137975\/"},"modified":"2025-09-06T21:49:08","modified_gmt":"2025-09-06T21:49:08","slug":"tesla-investor-presses-board-address-elon-musks-politics-and-their-impact-on-the-ev-makers-business","status":"publish","type":"post","link":"https:\/\/www.newsbeep.com\/us\/137975\/","title":{"rendered":"Tesla investor presses board address Elon Musk&#8217;s politics and their impact on the EV maker&#8217;s business"},"content":{"rendered":"<p>An individual investor and longtime climate-change advocate is asking the <a href=\"https:\/\/fortune.com\/company\/tesla\/\" target=\"_blank\" aria-label=\"Go to https:\/\/fortune.com\/company\/tesla\/\" class=\"sc-4f49155c-0 hLtviE\" rel=\"nofollow noopener\">Tesla<\/a> board to finally address the impact of politics on the $1 trillion electric vehicle and robotics manufacturer\u2014by just staying out of it.\u00a0<\/p>\n<p>Jay Butera, 67, of Pennsylvania, submitted a <a href=\"https:\/\/www.sec.gov\/ix?doc=\/Archives\/edgar\/data\/1318605\/000110465925087598\/tm252289-4_pre14a.htm#tOOS\" target=\"_blank\" rel=\"noopener nofollow\" aria-label=\"Go to https:\/\/www.sec.gov\/ix?doc=\/Archives\/edgar\/data\/1318605\/000110465925087598\/tm252289-4_pre14a.htm#tOOS\" class=\"sc-4f49155c-0 hLtviE\">shareholder proposal<\/a> to the board asking Tesla to adopt a policy of political neutrality that would prohibit executives and company leaders from making statements, endorsements, contributions and taking other visible actions in support or opposition to political parties or candidates. Butera, a retired entrepreneur, is deeply passionate about renewable energy and founded the bipartisan <a href=\"https:\/\/climatesolutionscaucus-garbarino.house.gov\/about\" target=\"_blank\" rel=\"noopener nofollow\" aria-label=\"Go to https:\/\/climatesolutionscaucus-garbarino.house.gov\/about\" class=\"sc-4f49155c-0 hLtviE\">climate solutions caucus<\/a> in 2016. He\u2019s also been an investor in Tesla since the company\u2019s <a href=\"https:\/\/ir.tesla.com\/node\/16#accordion-1-when-was-teslas-initial-public-offering-(ipo)\" target=\"_blank\" rel=\"noopener nofollow\" aria-label=\"Go to https:\/\/ir.tesla.com\/node\/16#accordion-1-when-was-teslas-initial-public-offering-(ipo)\" class=\"sc-4f49155c-0 hLtviE\">IPO<\/a> in 2010. In his view, Tesla\u2019s mission of widespread electric transportation and deployment of renewable energy sources is of paramount importance. Butera doesn\u2019t want to see \u201cthe day-to-day politics of mankind get in the way of that.\u201d<\/p>\n<p>Butera\u2019s plight as a Tesla owner and supporter at odds with the impact of Musk\u2019s high profile in politics has been raised repeatedly by the electric vehicle manufacturer\u2019s legion of retail investors. His proposal is the first time the Tesla board has had to directly respond to the query and it comes as Tesla faces increasing pressure on sales and innovation amid a slowdown in consumer spending.<\/p>\n<p>\u201cElon Musk is a technical genius and I believe his enthusiasm and passion have enabled him to do things that no one else could do, so it\u2019s not surprising that his interest in politics was larger than life,\u201d said Butera. \u201cIt\u2019s that kind of passion and energy and enthusiasm that drove him to create Tesla and to make Tesla do what no other company has been able to do\u2014create practical electric transportation.\u201d<\/p>\n<p>But that same zeal, directed at politics, is jeopardizing the world\u2019s transition to sustainable energy, Butera said, and Tesla\u2019s investors.\u00a0<\/p>\n<p>\u201cWe can\u2019t afford to do anything at any level in the company that alienates customers, alienates government officials, or alienates regulators, whether it\u2019s here or abroad,\u201d he said.\u00a0<\/p>\n<p>Butera first reached out to the board in October 2024 with a letter outlining his concerns and never got a response, which surprised him because at the time he owned several million dollars worth of Tesla stock, he said. Butera has since sold off about half the investment after holding onto it for 15 years because he was concerned about the impact of political activity on the company and thought Tesla was overrepresented in his investment portfolio.\u00a0<\/p>\n<p>\u201cIt just stands to reason that if you make political statements in one direction or another, you\u2019re going to offend somebody,\u201d Butera told Fortune. \u201cFor that reason, I\u2019m a big advocate of neutrality for people who are in the public eye.\u201d<\/p>\n<p>His proposal does not mention Tesla\u2019s CEO by name, but Musk has hardly been neutral. He spent north of $250 million backing a super PAC he created to mobilize support for President Donald Trump and he was the face of the Department of Government Efficiency (DOGE). The latter was behind thousands of unpopular federal job cuts and slashed millions in federal funding.<\/p>\n<p>Tesla board pushes back<\/p>\n<p>Tesla board members, <a href=\"https:\/\/ir.tesla.com\/corporate\/robyn-m-denholm\" target=\"_blank\" rel=\"noopener nofollow\" aria-label=\"Go to https:\/\/ir.tesla.com\/corporate\/robyn-m-denholm\" class=\"sc-4f49155c-0 hLtviE\">chaired<\/a> by Robyn Denholm, are seeking to <a href=\"https:\/\/www.sec.gov\/files\/corpfin\/no-action\/14a-8\/buteratesla8625-14a8inc.pdf\" target=\"_blank\" rel=\"noopener nofollow\" aria-label=\"Go to https:\/\/www.sec.gov\/files\/corpfin\/no-action\/14a-8\/buteratesla8625-14a8inc.pdf\" class=\"sc-4f49155c-0 hLtviE\">omit<\/a> the proposal, which would mean it won\u2019t appear on the company\u2019s final proxy statement and Tesla shareholders won\u2019t get to vote on it at the annual meeting in November.\u00a0<\/p>\n<p>The Tesla board wrote that the proposed neutrality policy \u201cwould not only have a chilling effect on free speech, but could also be both impossible and unlawful for the board to implement and enforce.\u201d<\/p>\n<p>\u201cThis would place the Board in an unworkable situation to constantly monitor and analyze an undefined category of statements made by the Company\u2019s directors and high-ranking officers in their personal capacities using non-Company platforms,\u201d board members said in an opposition statement. \u201cThe Board neither has the ability to enforce nor should it be placed in a position to be constantly interpreting these sweeping, nebulous and rapidly shifting standards.\u201d<\/p>\n<p>The board recommended investors vote against the proposal, and its <a href=\"https:\/\/www.sec.gov\/files\/corpfin\/no-action\/14a-8\/buteratesla8625-14a8inc.pdf\" target=\"_blank\" rel=\"noopener nofollow\" aria-label=\"Go to https:\/\/www.sec.gov\/files\/corpfin\/no-action\/14a-8\/buteratesla8625-14a8inc.pdf\" class=\"sc-4f49155c-0 hLtviE\">request<\/a> to strike the proposal entirely to the <a href=\"https:\/\/www.sec.gov\/\" target=\"_blank\" rel=\"noopener nofollow\" aria-label=\"Go to https:\/\/www.sec.gov\/\" class=\"sc-4f49155c-0 hLtviE\">Securities &amp; Exchange Commission<\/a> remains pending.\u00a0<\/p>\n<p>Rising concerns from Tesla investors<\/p>\n<p>While Butera submitted the shareholder proposal in his capacity as an individual investor in the company, he is hardly alone. Retail investors holding thousands of Tesla shares have upvoted questions every quarter since 2024 asking about Musk\u2019s involvement in politics and begging the board to rein him in.<\/p>\n<p>\u201cElon the person has freedom of speech. The brand ambassador of Tesla does not,\u201d <a href=\"https:\/\/app.saytechnologies.com\/tesla-2025-q2?filter=all&amp;cf=ea3be788-056c-4be9-9fc7-e01312a8d7b8\" target=\"_blank\" rel=\"noopener nofollow\" aria-label=\"Go to https:\/\/app.saytechnologies.com\/tesla-2025-q2?filter=all&amp;cf=ea3be788-056c-4be9-9fc7-e01312a8d7b8\" class=\"sc-4f49155c-0 hLtviE\">wrote<\/a> one investor before the last earnings call in July. \u201cWhat is the board doing to distance Tesla from the private actions of its CEO?\u201d<\/p>\n<p>\u201cBoycotts, protests, vandalism, negative headlines, and a stock slide have been sparked by Elon Musk\u2019s participation in changes to U.S. gov\u2019t services &amp; employment,\u201d <a href=\"https:\/\/app.saytechnologies.com\/tesla-2025-q1?filter=all&amp;cf=ea3be788-056c-4be9-9fc7-e01312a8d7b8\" target=\"_blank\" rel=\"noopener nofollow\" aria-label=\"Go to https:\/\/app.saytechnologies.com\/tesla-2025-q1?filter=all&amp;cf=ea3be788-056c-4be9-9fc7-e01312a8d7b8\" class=\"sc-4f49155c-0 hLtviE\">wrote<\/a> another investor in April. \u201cIs the Tesla board discussing whether their CEO should focus fully on Tesla and leave gov\u2019t to elected politicians?\u201d<\/p>\n<p>Similar Musk-focused queries rolled into the platform Tesla uses to solicit questions from its army of retail investors in advance of quarterly earnings calls in <a href=\"https:\/\/app.saytechnologies.com\/tesla-2024-q4?cf=ea3be788-056c-4be9-9fc7-e01312a8d7b8&amp;filter=all\" target=\"_blank\" rel=\"noopener nofollow\" aria-label=\"Go to https:\/\/app.saytechnologies.com\/tesla-2024-q4?cf=ea3be788-056c-4be9-9fc7-e01312a8d7b8&amp;filter=all\" class=\"sc-4f49155c-0 hLtviE\">January<\/a>, <a href=\"https:\/\/app.saytechnologies.com\/tesla-2024-q3?cf=ea3be788-056c-4be9-9fc7-e01312a8d7b8&amp;filter=all\" target=\"_blank\" rel=\"noopener nofollow\" aria-label=\"Go to https:\/\/app.saytechnologies.com\/tesla-2024-q3?cf=ea3be788-056c-4be9-9fc7-e01312a8d7b8&amp;filter=all\" class=\"sc-4f49155c-0 hLtviE\">October <\/a>2024, and <a href=\"https:\/\/app.saytechnologies.com\/tesla-2024-q2?cf=ea3be788-056c-4be9-9fc7-e01312a8d7b8&amp;filter=all\" target=\"_blank\" rel=\"noopener nofollow\" aria-label=\"Go to https:\/\/app.saytechnologies.com\/tesla-2024-q2?cf=ea3be788-056c-4be9-9fc7-e01312a8d7b8&amp;filter=all\" class=\"sc-4f49155c-0 hLtviE\">July<\/a> 2024.\u00a0<\/p>\n<p>Consumers in blue states are cooling on Tesla <\/p>\n<p>In heavily Democratic-leaning California, which Musk has left in favor of Texas, the hit on Tesla sales has been deep. For the past seven straight quarters, new registrations for Teslas have <a href=\"https:\/\/www.cncda.org\/news\/california-new-car-dealers-association-releases-q2-2025-auto-outlook-report\/\" target=\"_blank\" rel=\"noopener nofollow\" aria-label=\"Go to https:\/\/www.cncda.org\/news\/california-new-car-dealers-association-releases-q2-2025-auto-outlook-report\/\" class=\"sc-4f49155c-0 hLtviE\">declined in California<\/a>, where the share of electric vehicles is overly represented relative to rest of the U.S., according to data from <a href=\"https:\/\/www.experian.com\/automotive\/auto-vehicle-data\" target=\"_blank\" rel=\"noopener nofollow\" aria-label=\"Go to https:\/\/www.experian.com\/automotive\/auto-vehicle-data\" class=\"sc-4f49155c-0 hLtviE\">Experian<\/a>. The state\u2019s share of zero electric vehicle registrations is 28.6%, and the market share is 19.5%. In comparison, the U.S. market share of the vehicles is 7.8%.  <\/p>\n<p>California registrations of Teslas dropped 18% during the first half of 2025, compared to the first half of 2024, according to quarterly figures <a href=\"https:\/\/www.cncda.org\/news\/california-new-car-dealers-association-releases-q2-2025-auto-outlook-report\/\" target=\"_blank\" rel=\"noopener nofollow\" aria-label=\"Go to https:\/\/www.cncda.org\/news\/california-new-car-dealers-association-releases-q2-2025-auto-outlook-report\/\" class=\"sc-4f49155c-0 hLtviE\">published<\/a> in July by the California New Car Dealers Association. Meanwhile, hybrid registrations increased 54% in California the first half of the year. Tesla\u2019s Model Y and Model 3 remain the top 2 selling cars in California, despite the declines.\u00a0<\/p>\n<p>As of August 2025, the <a href=\"https:\/\/www.ppic.org\/publication\/california-voter-and-party-profiles\/\" target=\"_blank\" rel=\"noopener nofollow\" aria-label=\"Go to https:\/\/www.ppic.org\/publication\/california-voter-and-party-profiles\/\" class=\"sc-4f49155c-0 hLtviE\">share<\/a> of registered voters in California was 45.3%, while the share of Republicans was 25.2%, according to the Public Policy Institute of California. <\/p>\n<p>A 2024 study authored by a University of Chicago Booth School of Business assistant professor of economics that analyzed 117 major corporate political stance events found that when companies take controversial positions perceived to be political, they get a response from consumers.\u00a0<\/p>\n<p>\u201c<a href=\"https:\/\/jacob-conway.com\/pdfs\/consuming_values.pdf\" target=\"_blank\" rel=\"noopener nofollow\" aria-label=\"Go to https:\/\/jacob-conway.com\/pdfs\/consuming_values.pdf\" class=\"sc-4f49155c-0 hLtviE\">Consuming Values<\/a>,\u201d <a href=\"https:\/\/jacob-conway.com\/\" target=\"_blank\" rel=\"noopener nofollow\" aria-label=\"Go to https:\/\/jacob-conway.com\/\" class=\"sc-4f49155c-0 hLtviE\">written<\/a> by Jacob Conway and Levi Boxell, found that when a quarter of consumers are aware of a firm\u2019s political position on an issue, those aligned with the position increased their consumption by 19% the following month. Consumers opposed to the stance decreased their spending by 11%, the study found.\u00a0<\/p>\n<p>Making political statements is \u201ccertainly very fraught in the sense that there is now good academic evidence that taking stances certainly affects customer demand for your product,\u201d said <a href=\"https:\/\/olin.washu.edu\/faculty\/william-cassidy\" target=\"_blank\" rel=\"noopener nofollow\" aria-label=\"Go to https:\/\/olin.washu.edu\/faculty\/william-cassidy\" class=\"sc-4f49155c-0 hLtviE\">William Cassidy<\/a>, an assistant professor of finance at Washington University\u2019s <a href=\"https:\/\/fortune.com\/company\/olin\/\" target=\"_blank\" aria-label=\"Go to https:\/\/fortune.com\/company\/olin\/\" class=\"sc-4f49155c-0 hLtviE\" rel=\"nofollow noopener\">Olin<\/a> Business School.\u00a0<\/p>\n<p>The research also found that the consumption differences persisted even a year after a firm took a political stance on an issue.<\/p>\n<p>Butera said he has friends who won\u2019t buy Teslas because of Musk\u2019s politics and has others who have sold their Teslas. As an investor and climate-change advocate, he finds that trend alarming. <\/p>\n<p>Before he submitted his proposal, he researched Tesla\u2019s <a href=\"https:\/\/digitalassets.tesla.com\/tesla-contents\/image\/upload\/Business_Code_Of_Ethics\" target=\"_blank\" rel=\"noopener nofollow\" aria-label=\"Go to https:\/\/digitalassets.tesla.com\/tesla-contents\/image\/upload\/Business_Code_Of_Ethics\" class=\"sc-4f49155c-0 hLtviE\">Code of Business Ethics<\/a>, which asks employees to avoid conflicts of interest that \u201cinterfere, or appear to interfere, with Tesla\u2019s interests.\u201d His proposal asks the board to incorporate statements that deem political activities by leaders as conflicting with Tesla\u2019s interests. He said the proposal isn\u2019t meant to criticize, penalize, or embarrass anyone at the company.<\/p>\n<p>\u201cI\u2019m just asking the board to acknowledge the risks of political activity, to learn from its mistakes, make necessary adjustments in governance, and to move forward toward Tesla\u2019s stated goal of \u2018Accelerating the Transition to Sustainable Energy,\u2019\u201d said Butera. \u201cTesla\u2019s success in this mission is important to the world\u2014more important than the personal political opinions of any one person.
