Discovery<\/a>, responding to <a href=\"https:\/\/variety.com\/t\/paramount-skydance\/\" id=\"auto-tag_paramount-skydance\" data-tag=\"paramount-skydance\" rel=\"nofollow noopener\" target=\"_blank\">Paramount Skydance<\/a>\u2018s <a href=\"https:\/\/variety.com\/2025\/tv\/news\/paramount-hostile-takeover-bid-warner-bros-discovery-1236603175\/\" rel=\"nofollow noopener\" target=\"_blank\">unsolicited takeover offer to acquire all of WBD\u2019s outstanding stock for $30\/share<\/a>, said it will review the proposal and issue its decision within 10 business days.<\/p>\n<p class=\"paragraph larva \/\/ lrv-u-margin-lr-auto  lrv-a-font-body-m   \">\n\tFor now, the WBD board \u201cis not modifying its recommendation with respect to the agreement with <a href=\"https:\/\/variety.com\/t\/netflix\/\" id=\"auto-tag_netflix\" data-tag=\"netflix\" rel=\"nofollow noopener\" target=\"_blank\">Netflix<\/a>,\u201d the company said in a statement Monday. On Friday, WBD and Netflix announced a deal under which\u00a0<a href=\"https:\/\/variety.com\/2025\/tv\/news\/netflix-to-acquire-warner-bros-82-7-billion-deal-1236601034\/\" rel=\"nofollow noopener\" target=\"_blank\">Netflix would buy Warner Bros.\u2019s studio operations, HBO and HBO Max for $72 billion<\/a>\u00a0(with an enterprise value of $82.7 billion). Paramount\u2019s hostile takeover bid, backed in part of three Arab sovereign wealth funds and Jared Kushner\u2019s Affinity Partners, has an enterprise value at $108.4 billion.<\/p>\n<p class=\"paragraph larva \/\/ lrv-u-margin-lr-auto  lrv-a-font-body-m   \">\n\t\u201cThe Warner Bros. Discovery Board of Directors (the \u2018Board\u2019), consistent with its fiduciary duties and in consultation with its independent financial and legal advisors, will carefully review and consider Paramount Skydance\u2019s offer in accordance with the terms of Warner Bros. Discovery\u2019s agreement with Netflix, Inc.,\u201d the company said. \u201cWarner Bros. Discovery intends to advise its stockholders of the Board\u2019s recommendation regarding Paramount Skydance\u2019s tender offer within 10 business days.\u201d<\/p>\n<p class=\"paragraph larva \/\/ lrv-u-margin-lr-auto  lrv-a-font-body-m   \">\n\tTen business days from Monday would be Friday, Dec. 19. Warner Bros. Discovery stockholders are advised \u201cnot to take any action at this time with respect to Paramount Skydance\u2019s proposal,\u201d WBD said. <\/p>\n<p class=\"paragraph larva \/\/ lrv-u-margin-lr-auto  lrv-a-font-body-m   \">\n\tAllen &amp; Co., J.P. Morgan and Evercore are serving as financial advisers to Warner Bros.
