Along those lines, please see&#13;<br \/>\nbelow.<\/p>\n<p>SEC Names New Deputy Directors of the Division of&#13;<br \/>\nEnforcement<\/p>\n<p>On January 12, 2026, the SEC <a href=\"https:\/\/www.sec.gov\/newsroom\/press-releases\/2026-4-paul-tzur-david-morrell-named-deputy-directors-division-enforcement\" target=\"_blank\" rel=\"nofollow noopener\">announced<\/a> the appointment of Paul H. Tzur and&#13;<br \/>\nDavid M. Morrell as Deputy Directors of its Division of&#13;<br \/>\nEnforcement. Both leaders bring extensive experience in securities&#13;<br \/>\nlaw, investigations, and litigation, and each rejoined the SEC from&#13;<br \/>\nprivate practice. Mr. Tzur will oversee the agency&#8217;s&#13;<br \/>\nenforcement program in the Chicago, Atlanta, and Miami regional&#13;<br \/>\noffices. Mr. Morrell will oversee the agency&#8217;s enforcement&#13;<br \/>\nprogram in the New York, Boston, and Philadelphia regional&#13;<br \/>\noffices.<\/p>\n<p>SEC Names Director of the Division of&#13;<br \/>\nExaminations<\/p>\n<p>On January 20, 2026, the SEC announced that Keith E. Cassidy has&#13;<br \/>\nbeen appointed Director of the Division of Examinations. Mr.&#13;<br \/>\nCassidy has served as Acting Director since May 2024 and previously&#13;<br \/>\nwas the division&#8217;s Deputy Director, Acting Co\u2011Director,&#13;<br \/>\nand National Associate Director of the Technology Controls Program.&#13;<br \/>\nAs discussed previously, the expectations for the Division of&#13;<br \/>\nExaminations and its program may align more with its historical&#13;<br \/>\npractices than how the Division of Enforcement will function under&#13;<br \/>\nChairman Atkins. This appointment of the Division of Examinations&#13;<br \/>\nActing Director is corroborative of that.<\/p>\n<p>Commissioner Caroline Crenshaw Announces Her Departure&#13;<br \/>\nFrom the SEC<\/p>\n<p>On January 2, 2026, Commissioner Caroline A. Crenshaw <a href=\"https:\/\/www.sec.gov\/newsroom\/speeches-statements\/statement-departure-commissioner-crenshaw-010226\" target=\"_blank\" rel=\"nofollow noopener\">announced<\/a> her departure from the SEC after&#13;<br \/>\nserving as a commissioner since 2020. During her tenure, Crenshaw&#13;<br \/>\nchampioned investor protection initiatives, robust corporate&#13;<br \/>\ndisclosure standards, and measures to strengthen market&#13;<br \/>\ntransparency. Her exit leaves the SEC with three commissioners&#13;<br \/>\n\u2014 Chairman Paul Atkins, Hester Peirce, and Mark Uyeda \u2014&#13;<br \/>\nand without a Democratic voice until a successor is appointed. This&#13;<br \/>\nshift in composition could have implications for policy direction&#13;<br \/>\nand enforcement and examination priorities, particularly in areas&#13;<br \/>\nwhere votes have been closely divided along partisan or&#13;<br \/>\nphilosophical lines. Companies and firms should watch for potential&#13;<br \/>\nchanges in rulemaking momentum, enforcement focus, and examination&#13;<br \/>\ninitiatives.<\/p>\n<p>SEC Issues Risk Alert on Marketing Rule&#13;<br \/>\nCompliance<\/p>\n<p>On December 16, 2025, the SEC&#8217;s Division of Examinations <a href=\"https:\/\/www.sec.gov\/files\/exams-riskalert-mrkt-rule-2512-508.pdf\" target=\"_blank\" rel=\"nofollow noopener\">released<\/a> a risk alert highlighting frequently&#13;<br \/>\nobserved deficiencies in investment advisers&#8217; compliance with&#13;<br \/>\nthe Marketing Rule under the Investment Advisers Act of 1940. The&#13;<br \/>\nalert underscores that many advisers are failing to adhere to key&#13;<br \/>\nrequirements, including the use of testimonials and endorsements&#13;<br \/>\nwithout sufficient disclosures and the use of third-party ratings&#13;<br \/>\nwithout complying to all requirements for use of third-party&#13;<br \/>\nratings. Examiners also found instances where firms did not have&#13;<br \/>\n\u2014 or did not follow \u2014 adequate written policies and&#13;<br \/>\nprocedures designed to ensure Marketing Rule compliance. These&#13;<br \/>\nfindings suggest that firms should pay particular attention to both&#13;<br \/>\nthe content of their advertisements and the internal controls&#13;<br \/>\ngoverning their use.<\/p>\n<p>For market participants, the risk alert serves as a clear&#13;<br \/>\nreminder that SEC examiners are actively reviewing marketing&#13;<br \/>\npractices and will expect advisers to produce evidence supporting&#13;<br \/>\nadvertised performance and claims. Firms should promptly evaluate&#13;<br \/>\ntheir marketing materials, disclosure language, recordkeeping&#13;<br \/>\nprocesses, and compliance policies to ensure alignment with the&#13;<br \/>\nrule&#8217;s requirements. Proactive steps \u2014 such as routine&#13;<br \/>\ninternal audits of marketing content, staff training on rule&#13;<br \/>\nprovisions, and documented substantiation for all claims \u2014&#13;<br \/>\ncan help mitigate examination risk and avoid potential enforcement&#13;<br \/>\nactions.<\/p>\n<p>More broadly, this focused risk alert with specific guidance&#13;<br \/>\nshould be well received. The increased use of risk alerts \u2014&#13;<br \/>\nas opposed to regulation by enforcement \u2014 will be an area to&#13;<br \/>\ncontinue to monitor. Along the lines of continuing transparent&#13;<br \/>\nguidance in this area and more generally, on January 15, 2026, the&#13;<br \/>\nSEC released two additional &#8220;<a href=\"https:\/\/www.sec.gov\/rules-regulations\/staff-guidance\/division-investment-management-frequently-asked-questions\/marketing-compliance-frequently-asked-questions\" target=\"_blank\" rel=\"nofollow noopener\">FAQs<\/a>&#8221; for marketing rule compliance&#13;<br \/>\nregarding the use of model fees and testimonials and&#13;<br \/>\nendorsements.<\/p>\n<p>The content of this article is intended to provide a general&#13;<br \/>\nguide to the subject matter.
