The acquisition was consummated in 2020, and neither Suirui&#13;<br \/>\nGroup nor Jupiter Systems submitted a notice with the Committee on&#13;<br \/>\nForeign Investment in the United States (CFIUS). Jupiter Systems&#13;<br \/>\nprovides video communications hardware and software solutions to,&#13;<br \/>\namong others, the US government and its products have been&#13;<br \/>\nintegrated into critical military and infrastructure systems. The&#13;<br \/>\npresidential order found that Suirui Group&#8217;s acquisition of&#13;<br \/>\nJupiter Systems would &#8220;impair the national security of the&#13;<br \/>\nUnited States&#8221; and required the complete divestment of Jupiter&#13;<br \/>\nSystems by a specified deadline. 90 Fed. Reg. 31,125. According to&#13;<br \/>\nthe complaint, the unresolved risk centered on the potential&#13;<br \/>\ncompromise of Jupiter Systems&#8217; products that would permit&#13;<br \/>\nunauthorized access to data or the impairment of critical systems.&#13;<br \/>\nDespite extensions, Suirui Group failed to divest. The Department&#13;<br \/>\nof Justice is seeking injunctive relief and, of particular note,&#13;<br \/>\nthe transfer of the Jupiter Systems assets to a third-party&#13;<br \/>\nfiduciary pending a final divestment consistent with the July 2025&#13;<br \/>\norder.<\/p>\n<p>Why it matters<\/p>\n<p>This is the first-ever CFIUS enforcement action filed in federal&#13;<br \/>\ndistrict court. Although only at the pleadings stage, this filing&#13;<br \/>\nmatters because it sends a clear signal that when parties resist&#13;<br \/>\nCFIUS-imposed obligations, this Administration will not shy away&#13;<br \/>\nfrom seeking the most severe remedies legally available.<\/p>\n<p>The complaint underscores several takeaways. First, CFIUS&#13;<br \/>\njurisdiction is not time-barred or cabined by administrations. This&#13;<br \/>\ntransaction closed nearly six years prior to filing, and was&#13;<br \/>\ninitially identified for CFIUS review in March 2024 during the&#13;<br \/>\nBiden Administration. Second, relief beyond financial penalties is&#13;<br \/>\nwithin bounds, including control by third-party fiduciaries, forced&#13;<br \/>\nunwinding, and other structural remedies, demonstrating that&#13;<br \/>\ncommercial difficulties and considerations associated with&#13;<br \/>\ndivestment will not eclipse national security concerns. Third,&#13;<br \/>\nparty conduct matters. Suirui Group requested and was granted at&#13;<br \/>\nleast two extensions to the originally imposed divestment deadline.&#13;<br \/>\nTellingly, the complaint alleges that Suirui Group missed a&#13;<br \/>\ndeadline to provide a term sheet describing how the terms of the&#13;<br \/>\nJuly 2025 order would be met. These allegations strongly suggest&#13;<br \/>\nthat CFIUS was willing to accommodate an orderly divestment with a&#13;<br \/>\nlevel of party input, but Suirui Group&#8217;s failure to engage with&#13;<br \/>\nCFIUS at an acceptable level appears to have precipitated the&#13;<br \/>\ndecision to seek judicial engagement.<\/p>\n<p>The bottom line for dealmakers and regulatory counsel is that&#13;<br \/>\ncompliance with CFIUS obligations and presidential orders is not&#13;<br \/>\noptional. Noncompliance is an enforcement problem, not a policy&#13;<br \/>\ndisagreement.<\/p>\n<p>Relevant Background<\/p>\n<p>CFIUS is a nine-member interagency committee, chaired by the&#13;<br \/>\nDepartment of the Treasury and composed of eight other agencies&#13;<br \/>\nwith substantive national security equities, authorized to review&#13;<br \/>\ncertain transactions involving foreign investment in the United&#13;<br \/>\nStates and certain real-estate transactions by foreign persons to&#13;<br \/>\ndetermine the effect of the transactions on the national security&#13;<br \/>\nof the United States.
